Subcontract Agreement
This Agreement made on April 1st, 1997 between SAMSUNG CORPORATION ENGINEERING & CONSTRUCTION GROUP (hereinafter called "the Contractor") of the one part and CHINA STATE CONSTRUCTION ENGINEERING & CORPORATION, SHANGHAI whose registered office is situated at No.37 LANE 51, SHUI CHENG ROAD(S), SHANGHAI, CHINA (hereinafter called "the Subcontractor") of the other part.
WHEREAS:

A: The main Contractor has entered into a contractor (hereinafter called "the Main Contract") with Shanghai Golden Beach Real Estate Co. Ltd. at Shanghai Huangpu District Site No. 189 (hereinafter called the "Owner") to execute THE CONSTUCTION OF THE SHANGHAI GOLDEN BUND SUBSTRUCTURE (hereinafter called "the Works") at 18 Hanghe Road, Huangpu District, Shanghai.
B. The Contractor has accepted a Tender by the Substractor for the execution and Completion of such works (hereinafter called "Subcontract Works") and the Remedying of any defects therein.
C. The Subcontractor has agreed to execute, complete and maintain the Subcontract Works upon the terms hereinafter appearing and perform all obligations and liabilities of the Subcontract Works under the Main Contract.
Now it is hereby as agreed as follows:
Article 1: General Particulars
(1) Name of the Works: SHANGHAI GOLDEN BUND SUBSTRUCTURE
(2) Location of the Works: 18 Huanghe Road, Huangpu District, Shanghai
(3) Scope of the Works: SUBSTRUCTURE WORKS (as more fully detailed elsewhere in these subcontract documents)
Article 2: Subcontract Document
The following documents shall be deemed to form, and be read and contructed as part of this agreement. In the event of ambiguity between any of the following documents, the order of priority for interpretation shall be the order in Which they are listed:
(1) Subcontract Agreement
(2) Subcontract Correspondence
(3) Special Conditions of Contract
(4) General Conditions of Contract
(5) Conditions of Tender
(6) Contract Drawings
(7) Form of Tender
(8) Specifications
(9) Bills of Quantities
Article 3: Cost of the Subcontract Works
(1) In consideration of the payments to be made by the Contractor to the Subcontractor as hereinafter mentioned, the Subcontractor hereby covenants with the Contractor to execute and complete the Subcontract Works and remedy any defects therein in conformity in all respects with the Provisions of the Subcontract.
(2) The Contractor will pay to the Subcontractor the sum of US $$15 600 000 (United State dollars Fifteen Million, Six Hundred Thousand Only)(hereinafter referred to as " the Subcontract Sum") or such may be asertained in accordance with the relevant General Conditions and Special Conditions of Contract.
Article 4: Time for Completion
The Completion Date of the Subcontract Works shall be Oct. 23rd, 1997.
