以上买卖双方就卖方向买方供应服装一事达成一致，双
方订立以下合同以资信守

2. 交付delivery
供方应于年月日之前交货至买方指定地点。供方逾期交
货，买方有权拒收。 任何由卖家造成的逾期交货，如供方
同意收货的，供方应承担因逾期交货而产生的空运等费用。

3. 质量标准quality standard

有国家标准的依国家标准，无国家标的依行业标准。
并应符合以下约定：

4. 验收及异议inspection and
objection
卖方应于交付前通知买方验收，买方应于接到通知后合
理时间内完成验收.买方有权于卖方生产过程中到工厂查看
生产情况，卖方应予配合。
无论买方是否进行验收，卖方均应对产品质量负责。任
何归因于卖方原因导致的产品质量不合格，卖方均应承担
赔偿责任。
因质量问题在国外被发现，买方或其授权方有权单方委
托国外鉴定机构进行鉴定，该鉴定结论卖方不持异议。

the finished
product before delivery, the buyer

complish inspection within reasonable period.
The buyer is entitled to check the process of
production in the factory of supplier, the
supplier
must cooperate thereto.
No
matter the buyer inspect or not, the
supplier
shall be responsible for the the quality of
the products. The supplier shall assume any
liability attributable to quality
nonconformity.
In the case of
nonconformity found outside
china ,the buyer
or any party authorized by the
buyer shall nominate an inspection institution
to
carry out the quality determination. The
conclusion
from The inspection institution
thereby nominated
shall be final, the seller
give up any defense.

7.索赔claims
因卖方出现逾期交货、质量问题等违约行为，买方有权
就所发生的一切损失要求卖方赔偿，包括但不限于发生的
实际损失、鉴定费、差旅费、诉讼费、律师费。卖方承担
责任不以买方先行承担赔偿责任为前提

9.不可抗力force majeure
买卖双方的任何一方由于不可抗力的原因影响合同履
行的，应将不可抗力情形通知对方以减少损失。在取得有
关机构证明以后，允许延期履行或者不履行合同，并根据
情况可免予承担违约责任。

10、争议解决dispute

凡因本合同引起的或与本合同有关的任何争议，均应
提交上海国际仲裁中心，按照申请仲裁时该中心现行有效
的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约
束力。

International Arbitration Center （SHIAC） for
arbitration which shall be conducted in
accordance
with the SHIAC 's arbitration rules

11、语言language
本合同以中英文写就。两者存在差异时，以英文为准。

Where there is discrepancy, the English
version shall prevail.

本合同一式两份，双方各执一份为凭，两份具有同等法
律效力。签章后生效。

本合同双方商定文本后，由买方打印并签字盖章后，传

the seller. Upon receipt of this contract,
