本合同由买卖双方缔结,用中、英文字写成,两种文体具有同等效力,按照
下述条款,
卖方同意售出买方同意购进以下商品:

11.装运唛头,卖方负责在每件货物上用牢固的不褪色的颜料明显地刷印
或标明下述
唛头,以及目的口岸、件号、毛重和净重、尺码和其它买方要求的标记。如系危
险及/或有
毒货物,卖方负责保证在每件货物上明显地标明货物的性质说明及习惯上被接受
的标记。
12.付款条件:买方于货物装船时间前一个月通过______银行开出
以卖方为抬
头的不可撤销信用证,卖方在货物装船启运后凭本合同交货条款第18条A款所
列单据在开
证银行议付贷款。上述信用证有效期将在装船后15天截止。
13.其它条件:除非经买方同意和接受,本合同其它一切有关事项均按第
二部分交货
条款之规定办理,该交货条款为本合同不可分的部分,本合同如有任何附加条款
将自动地优
先执行附加条款,如附加条款与本合同条款有抵触,则以附加条款为准。
第二部分
14.FOB/FAS条件
14.1.本合同项下货物的装运舱位由买方或买方的运输代理人____
_____
__租订。
14.2.在FOB条件下,卖方应负责将所订货物在本合同第8条所规定
的装船期内
按买方所通知的任何日期装上买方所指定的船只。
14.3.在FAS条件下,卖方应负责将所订货物在本合同第8条所规定
的装船期内
按买方所通知的任何日期交到买方所指定船只的吊杆下。
14.4.货物装运日前10-15天,买方应以电报或电传通知卖方合同
号、船只预
计到港日期、装运数量及船运代理人的名称。以便卖方经与该船运代理人联系及
安排货物的
装运。卖方应将联系结果通过电报或电传及时报告买方。如买方因故需要变更船
只或者船只
比预先通知卖方的日期提前或推迟到达装运港口,买方或其船运代理人应及时通
知卖方。卖
方亦应与买方的运输代理或买方保持密切联系。
14.5.如买方所订船只到达装运港后,卖方不能在买方所通知的装船时
间内将货物
装上船只或将货物交到吊杆之下,卖方应负担买方的一切费用和损失,如空舱费、
滞期费及
由此而引起的及/或遭受的买方的一切损失。
14.6.如船只撤换或延期或退关等而未及时通知卖方停止交货,在装港
发生的栈租
及保险费损失的计算,应以代理通知之装船日期(如货物晚于代理通知之装船日
期抵达装港
,应以货物抵港日期)为准,在港口免费堆存期满后第十六天起由买方负担,人
力不可抗拒
的情况除外。上述费用均凭原始单据经买方核实后支付。但卖方仍应在装载货船
到达装港后
立即将货物装船,交负担费用及风险。
15.C&F条件
15.1.卖方在本合同第8条规定的时间之内应将货物装上由装运港到中
国口岸的直
达船。未经买方事先许可,不得转船。货物不得由悬挂中国港口当局所不能接受
的国家旗帜
的船装载。
15.2.卖方所租船只应适航和适货。卖方租船时应慎重和认真地选择承
运人及船只
。买方不接受非保赔协会成员的船只。
15.3.卖方所租载货船只应在正常合理时间内驶达目的港。不得无故绕
行或迟延。
15.4.卖方所租载货船只船龄不得超过15年。对超过15年船龄的船
只其超船龄
额外保险费应由卖方负担。买方不接受船龄超过二十年的船只。
15.5.一次装运数量超过一千吨的货载或其它少于一千吨但买方指明的
货载,卖方
应在装船日前至少10天用电传或电报通知买方合同号、商品名称、数量、船名、
船龄、船
籍、船只主要规范、预计装货日、预计到达目的港时间、船公司名称、电传和电
报挂号。
15.6.一次装运一千吨以上货载或其它少于一千吨但买方指明的货载,
其船长应在
该船抵达目的港前7天和24小时分别用电传或电报通知买方预计抵港时间、合
同号、商品
名称及数量。
15.7.如果货物由班轮装运,载货船只必须是______船级社最高
船级或船级
协会条款规定的相同级别的船级,船只状况应保持至提单有效期终了时止,以装
船日为准船
龄不得超过20年。超过20年船龄的船只,卖方应负担超船龄外保险费。买方
绝不接受超
过25年船龄的船只。
15.8.对于散件货,如果卖方未经买方事前同意而装入集装箱,卖方应
负责向买方
支付赔偿金,由双方在适当时间商定具体金额。
15.9.卖方应和载运货物的船只保持密切联系,并以最快的手段通知买
方船只在途
中发生的一切事故,如因卖方未及时通知买方而造成买方的一切损失卖方应负责
赔偿。
16.CIF条件
在CIF条件下,除本合同第15条C&F条件适用之外卖方负责货物的保
险,但不允
许有免赔率。
17.装船通知
货物装船完毕后48小时内,卖方应即以电报或电传通知买方合同号、商品
名称、所装
重量(毛/净)或数量、发票价值、船名、装运口岸、开船日期及预计到达目的
港时间。如 <

因卖方未及时用电报或电传给买方以上述装船通知而使买方不能及时保险,卖方
负
责赔偿买
方由此而引起的一切损害及/或损失。
18.装船单据
18.A.卖方凭下列单据向付款银行议付货款:
18.A.1.填写通知目的口岸的__________运输公司的空白
抬头、空白
背书的全套已装运洋轮的清洁提单(如系C&F/CIF条款则注明“运费已
付”,如系F
OB/FAS条款则注明“运费待收”)。
18.A.2.由信用证受益人签名出具的发票5份,注明合同号、信用证
号、商品名
称、详细规格及装船唛头标记。
18.A.3.两份由信用证受益人出具的装箱单及/或重量单,注明每件
货物的毛重
和净重及/或尺码。
18.A.4.由制造商及/或装运口岸的合格、独立的公证行签发的品质
检验证书及
数量或重量证书各两份,必须注明货物的全部规格与信用证规定相符。
18.A.5.本交货条件第17条规定的装船通知电报或电传副本一份。
18.A.6.证明上述单据的副本已按合同要求寄出的书信一封。
18.A.7.运货船只的国籍已经买主批准的书信一封。
18.A.8.如系卖方保险需提供投保不少于发票价值110%的一切险
和战争险的
保险单。
18.B.不接受影印、自动或电脑处理、或复印的任何正本单据,除非这
些单据印有
清晰的“正本”字样,并经发证单位授权的领导人手签证明。
18.C.联运提单、迟期提单、简式提单不能接受。
18.D.受益人指定的第三者为装船者不能接受,除非该第三者提单由装
船者背书转
受益人,再由受赠人背书后方可接受。
18.E.信用证开立日期之前出具的单据不能接受。
18.F.对于C&F/CIF货载,不接受租船提单,除非受益人提供租
船合同、船
长或大副收据、装船命令、货物配载图及或买方在信用证内所要求提供的其它单
据副本各一
份。
18.G.卖方须将提单、发票及装箱单各两份副本随船带交目的口岸的买
方收货代理
人_______________。
18.H.载运货船启碇后,卖方须立即航空邮寄全套单据副本一份给买方,
三份给目
的口岸的对外贸易运输公司分公司。
18.I.卖方应负责赔偿买方因卖方失寄或迟寄上述单据而使买方遭受的
一切损失。
18.J.中华人民共和国境外的银行费用由卖方负担。
19.合同所订货物如用空运,则本合同有关海运的一切条款均按空运条款
执行。
20.危险品说明书
凡属危险品及/或有毒,卖方必须提供其危险或有毒性能、运输、仓储和装
卸注意事项
以及防治、急救、消防方法的说明书,卖方应将此项说明书各三份随同其他装船
单据航空邮
寄给买方及目的口岸的____________________运输公司。
21.检验和索赔
货物在目的口岸卸毕60天内(如果用集装箱装运则在开箱后60天)经中
国进出口商
品检验局复验,如发现品质、数量或重量以及其它任何方面与本合同规定不符,
除属于保险
公司或船行负责者外,买方有权凭上述检验局出具的检验证书向卖方提出退货或
索赔。因退
货或索赔引起的一切费用包括检验费、利息及损失均由卖方负担。在此情况下,
凡货物适于
抽样及寄送时如卖方要求,买方可将样品寄交卖方。
22.赔偿费
因“人力不可抗拒”而推迟或不能交货者除外,如果卖方不能交货或不能按
合同规定的
条件交货,卖方应负责向买方赔偿由此而引起的一切损失和遭受的损害,包括买
价及/或买
价的差价、空舱费、滞期费,以及由此而引起的直接或间接损失。买方有权撤销
全部或部分
合同,但并不妨碍买方向卖方提出索赔的权利。
23.赔偿例外
由于一般公认的“人力不可抗拒”原因而不能交货或延迟交货,卖方或买方
都不负责任
。但卖方应在事故发生后立即用电报或电传告买方并在事故发生后15天内航空
邮寄买方灾
害发生地点之有关政府机关或商会所出具的证明,证实灾害存在。如果上述“人
力不可抗拒
”继续存在60天以上,买方有权撤销合同的全部或一部。
24.仲裁
双方同意对一切因执行和解释本合同条款所发生的争议,努力通过友好协商
解决。在争
议发生之日起一个合理的时间内,最多不超过90天,协商不能取得对买卖双方
都满意的结
果时,如买方决定不向他认为合适的有管辖权的法院提出诉讼,则该争议应提交
仲裁。除双
方另有协议,仲裁应在中国北京举行,并按中国国际贸易促进委员会对外贸易仲
裁委员会所
制订的仲裁规则和程序进行仲裁,该仲裁为终局裁决,对双方均有约束力。仲裁
费用除非另
有决定,由败诉一方负担。

generally
adopted symbol shall be marked conspicuously on
each package.
12 Terms of Payment:
One month prior to the time of shipment the Buyer
shall open with
the
Bank of _______an
irrevocable Letter of Credit in favour of the
Seller
payable at the issuing bank
against presentation of documents
as
stipulated under Clause 18. A. of SECTION II,
the Terms of Delivery
of
this Contract
after departure of the carrying vessel. The said
Letter
of
Credit shall remain in force
till the 15th day after shipment.
13 Other
Terms:
Unless otherwise agreed and
accepted by the Buyer, all other
matters
related to this contract shall be governed by
Section II, the Terms
of
Delivery
which shall form an integral part of this
Contract.
Any
supplementary terms and
conditions that may be attached to this
Contract
shall automatically prevail over
the terms and conditions of this Contract
if
such supplementary terms and conditions come in
conflict with terms
and
conditions herein
and shall be binding upon both parties.
FOR THE SELLER FOR THE BUYER
SECTION 2
14 FOBFAS TERMS
14.1 The
shipping space for the contracted goods shall be
booked
by
the Buyer or the Buyer's
shipping agent __________.
14.2 Under
FOB terms, the Seller shall undertake to
load
the
contracted goods on board the
vessel nominated by the Buyer on any
date
notified by the Buyer, within the time of
shipment as stipulated in Clause
8 of this
Contract.
14.3 Under FAS terms, the
Seller shall undertake to deliver
the
contracted goods under the tackle of the
vessel nominated by the Buyer
on
any date
notified by the Buyer, within the time of shipment
as stipulated
in Clause 8 of this Contract.
14.4 10-15 days prior to the date of
shipment, the Buyer shall inform
the Seller
by cable or telex of the contract number, name of
vessel, ETA
of vessel, quantity to be loaded
and the name of shipping agent, so as
to
enable the Seller to contact the shipping
agent direct and arrange
the
shipment
of the goods. The Seller shall advise by cable or
telex in time
the Buyer of the result
thereof. Should, for certain reasons, it
become
necessary for the Buyer to replace
the named vessel with another one,
or
should the named vessel arrive at the port of
shipment earlier or
later
than the date
of arrival as previously notified to the Seller,
the Buyer
or its shipping agent shall advise
the Seller to this effect in due time.
The
Seller shall also keep in close contact with the
agent or the Buyer.
14.5 Should the Seller
fail to load the goods on board or to deliver
the goods under the tackle of the vessel
booked by the Buyer. Within the
time as
notified by the Buyer, after its arrival at the
port of shipment
the Seller shall be fully
liable to the Buyer and responsible for
all
losses and expenses such as dead
freight, demurrage. Consequential
losses
incurred upon andor suffered by the Buyer.
14.6 Should the vessel be withdrawn or
replaced or delayed
eventually
or the
cargo be shut out etc., and the Seller be not
informed in good time
to stop delivery
of the cargo, the calculation of the loss in
storage
expenses and insurance premium
thus sustained at the loading port shall
be
based on the loading date notified by the
agent to the Seller (or based
on
the date
of the arrival of the cargo at the loading port in
case the cargo
should arrive there later
than the notified loading date).
The
abovementioned loss to be calculated from the
16th day after expiry of
the
free storage
time at the port should be borne by the Buyer
with
the
exception of Force Majeure.
However, the Seller shall still undertake
to
load the cargo immediately upon the carrying
vessel's arrival at
the
loading port at
its own risk and expenses. The payment of the
afore-said
expenses shall be effected against
presentation of the original
vouchers
after the Buyer's verification.
15 C&F Terms
15.1 The Seller shall
ship the goods within the time as stipulated
in
clause 8 of this Contract by a direct
vessel sailing from the port
of
loading to China port. Transhipment on route
is not allowed without
the
Buyer's
prior consent. The goods shall not be carried by
vessels
flying
flags of countries not
acceptable to the Port Authorities of China.
15.2 The carrying vessel chartered by the Seller
shall be
seaworthy
and cargoworthy. The
Seller shall be obliged to act prudently
and
conscientiously when selecting the
vessel and the carrier when
chartering
such vessel. The Buyer is justified in not
accepting vessels chartered
by
the Seller
that are not members of the PICLUB.
15.3
The carrying vessel chartered by the Seller shall
sail and arrive
at the port of
destination within the normal and reasonable
period
of
time. Any unreasonable aviation
or delay is not allowed.
15.4 The age of
the carrying vessel chartered by the Seller shall
not
exceed 15 years. In case her age exceeds
15 years, the extra
average
insurance
premium thus incurred shall be borne by the
Seller. Vessel over
20 years of age shall in
no event be acceptable to the Buyer.
15.5
For cargo lots over 1,000 MT each, or any other
lots less than
1,000 metric tons but
identified by the Buyer, the Seller shall, at
least
10 days prior to the date of shipment,
inform the Buyer by telex or cable
of the
following information: the contract number, the
name of
commodity,
quantity, the name of
the carrying vessel, the age, nationality,
and
particulars of the carrying vessel,
the expected date of loading,
the
expected time of arrival at the port of
destination, the name, telex and
cable
address of the carrier.
15.6 For cargo
lots over 1,000 MT each, or any other lots less
than
1,000 metric tons but identified by the
Buyer, the Master of the carrying
vessel
shall notify the Buyer respectively 7 (seven) days
and 24
(twenty-four) hours prior to the
arrival of the vessel at the port
of
destination, by telex or cable about its ETA
(expected time of
arrival),
contract
number, the name of commodity, and quantity.
15.7 If goods are to be shipped per liner vessel
under liner Bill
of
Lading, the carrying
vessel must be classified as the highest
____________
or equivalent class as per the
Institute Classification Clause and
shall
be so maintained throughout the duration of
the relevant Bill of
Lading.
Nevertheless, the maximum age of the vessel
shall not exceed 20 years
at
the date of
loading. The seller shall bear the average
insurance
premium
for liner vessel older
than 20 years. Under no circum -stances shall
the
Buyer accept vessel over 25 years of age.
15.8 For break bulk cargoes, if goods are
shipped in containers by
the
Seller
without prior consent of the Buyer, a
compensation of a
certain
amount
to be agreed upon by both parties shall be payable
to the Buyer
by
the Seller.
15.9
The Seller shall maintain close contact with the
carrying
vessel
and shall notify the
Buyer by fastest means of communication about any
and
all accidents that may occur while the
carrying vessel is on route.
The
Seller
shall assume full responsibility and shall
compensate the Buyer
for
all losses
incurred for its failure to give timely advice or
notification
to the Buyer.
16 CIF Terms:
Under CIF terms,
besides Clause 15 C&F Terms of this contract
which
shall be applied the Seller shall be
responsible for covering the
cargo
with
relevant insurance with irrespective percentage.
17 Advice of
Shipment:
Within 48 hours
immediately after completion of loading of goods
on
board the vessel the Seller shall
advise the Buyer by cable or telex
of
the contract number, the name of goods,
weight (netgross) or
quantity
loaded,
invoice value, name of vessel, port of loading,
sailing date
and
expected time of
arrival (ETA) at the port of destination.
Should
the
Buyer be unable to arrange
insurance in time owing to the Seller's failure
to give the above mentioned advice of shipment
by cable or telex,
the
Seller shall be
held responsible for any and all damages andor
losses
attributable to such failure.
18 Shipping
Documents
18.A The Seller
shall present the following documents to the
paying
bank for negotiation of payment:
18.A.1 Full set of clean on board,
prepaidfor C&FCIF Terms
or
out
to
order and blank endorsed, notifying
___________at the port
of
destination.
18.A.2 Five copies of signed invoice,
indicating contract number,
LC
number,
name of commodity, full specifications, and
shipping mark,
signed
and issued by the
Beneficiary of Letter of Credit.
18.A.3
Two copies of packing list andor weight memo with
indication
of gross and net weight of each
package andor measurements issued
by
beneficiary of Letter of Credit.
18.A.4 Two copies each of the certificates of
quality and quantity
or
weight issued by
the manufacturer andor a qualified independent
surveyor
at the loading port and must
indicate full specifications of
goods
conforming to stipulations in Letter of
Credit.
18.A.5 One duplicate copy of the
cable or telex advice of shipment
as
stipulated in Clause 17 of the Terms of
Delivery.
18.A.6 A letter attesting
that extra copies of
abovementioned
documents have been dispatched according to
the Contract.
18.A.7 A letter attesting
that the nationality of the carrying
vessel
has been approved by the Buyer.
18.A.8
The relevant insurance policy covering, but not
limited to
at
least 110% of the invoice
value against all and war risks if the insurance
is covered by the Buyer.
18.B Any
original document(s) made by rephotographic
system,
automated
or computerized system
or carbon copies shall not be acceptable
unless
they are clearly marked as
in
hand writing by authorised officers of
the issuing company or corporation.
18.C
Through Bill of Lading, Stale Bill of Lading,
Short Form Bill
of
Lading, shall not be
acceptable.
18.D Third Party appointed by
the Beneficiary as shipper shall not
be
acceptable unless such Third Party Bill of
Lading is made out to the order
of shipper and
endorsed to the Beneficiary and blank endorsed
by
the
Beneficiary.
18.E
Documents issued earlier than the opening date
of Letter
of
Credit shall not be
acceptable.
18.F In the case of C&FCIF
shipments, Charter Party Bill of
Lading
shall not be acceptable unless Beneficiary
provides one copy each of
the
Charter
Party, Master's of Mate's receipt, shipping order
and cargo
or
stowage plan andor other
documents called for in the Letter of Credit
by
the Buyer.
18.G The seller
shall dispatch, in care of the carrying vessel,
two
copies each of the duplicates of Bill
of Lading. Invoice and Packing List
to the
Buyer's receiving agent, _______________at the
port of
destination.
18.H Immediately
after the departure of the carrying vessel,
the
Seller shall airmail one set of the
duplicate documents to the Buyer and
three
sets of the same to
______________________________
Transportation
Corporation at the port of destination.
18.I The Seller shall assume full responsibility
and be liable to the
Buyer and shall
compensate the Buyer for all losses arising
from
going
astray of andor the delay
in the dispatch of the above
mentioned
documents.
18.J Banking charges
outside the People's Republic of China shall
be
for the Seller's account.
19 If the goods under this Contract are
to be dispatched by air
, all the
terms and conditions of this Contract in
connection
with ocean transportation
shall be governed by relevant air terms.
20 Instruction leaflets on dangerous cargo:
For dangerous andor poisonous cargo,
the Seller must
provide
instruction
leaflets stating the hazardous or poisonous
properties,
transportation, storage and
handling remarks, as well as precautionary
and
first-air measures and measures against fire.
The Seller shall
airmail,
together with
other shipping documents, three copies each of the
same
to
the Buyer and___________________
Transportation Corporation at the port
of
destination.
21 Inspection & claims:
In case the
quality, quantity or weight of the goods be found
not
in
conformity with those as
stipulated in this Contract upon re-inspection
by
the China Commodity Import and Export
inspection Bureau within 60
days
after
completion of the discharge of the goods at the
port of destination
or, if goods are shipped
in containers, 60 days after the opening of such
containers, the Buyer shall have the right to
request the Seller to take
back the goods or
lodge claims against the Seller for
compensation
for
losses upon the strength
of the Inspection Certificate issued by the said
Bureau, with the exception of those claims
for which the insurers
or
owners of
the carrying vessel are liable, all expenses
including but
not
limited to inspection
fees, interest, losses arising from the return
of
the goods or claims shall be borne by
the Seller. In such a case,
the
Buyer may, if so requested, send a
sample of the goods in question to the
Seller, provided that sampling and sending of
such sample is feasible.
22 Damages:
With the exception of
late delivery or non-delivery due to
Majeure
in
accordance with the
terms and conditions, jointly or severally, of
this
Contract, the Seller shall be liable
to the Buyer and indemnify the Buyer
for all
losses, damages, including but not limited to,
purchase
price
andor purchase price
differentials, deadfreight, demurrage, and
all
consequential direct or indirect
losses. The Buyer shall nevertheless
have
the right to cancel in part or in whole of the
contract without prejudice
to the Buyer's
right to claim compensations.
23 Force Majeure:
Neither the Seller
or the Buyer shall be held responsible for
late
delivery or non-delivery owing to
generally recognized
Majeure
causes.
However in such a case, the Seller shall
immediately advise
by
cable or telex the
Buyer of the accident and airmail to the Buyer
within
15 days after the accident, a
certificate of the accident issued by
the
competent government authority or the chamber
of commerce which is located
at the place
where the accident occurs as evidence thereof. If
the said
Majeurecause lasts over 60 days, the
Buyer shall have the right
to cancel the
whole or the undelivered part of the order for the
goods
as
stipulated in Contract.

Arbitration:
Both parties agree to
attempt to resolve all disputes between
the
parties with respect to the
application or interpretation of any
term
hereof of transaction hereunder, through
amicable negotiation.
If a
dispute
cannot be resolved in this manner to the
satisfaction of
the
Seller and the Buyer
within a reasonable period of time, maximum
not
exceeding 90 days after the date of
the notification of such dispute, the
case
under dispute shall be submitted to arbitration if
the Buyer
should
decide not to take the
case to court at a place of jurisdiction that
the
Buyer may deem appropriate. Unless
otherwise agreed upon by both
parties,
such arbitration shall be held in ________,
and shall be governed by the
rules and
procedures of arbitration stipulated by the
Foreign
Trade
Arbitration Commission of
the China Council for the Promotion
of
International Trade. The decision by such
arbitration shall be accepted
as
final and
binding upon both parties. The arbitration fees
shall be
borne
by the losing party
unless otherwise awarded.

合同中所开列的为限,买方如要求增加保额或保险范围,应于装船前经售方同意,因此而增
加的保险费由买方负责。
(15)质量、数量索赔:
如交货质量不符,买方须于货物到达目的港30日内提出
索赔;数量索赔须于货物到达目的港15日内提出。对由于保险公司、船公司和其它转运单
位或邮政部门造成的损失卖方不承担责任。
(16)本合同内所述全部或部份商品,如因人力不可抗拒的原因,以致不能履约或延
迟交货,售方概不负责。
(17)仲裁:
凡因执行本合同或与本合同有关事项所发生的一切争执,应由双方通
过友好方式协商解决。如果不能取得协议时,则在中国国际经济贸易仲裁委员会根据该仲裁
机构的仲裁程序规则进行仲裁。仲裁决定是终局的,对双方具有同等约束力。仲裁费用除非
仲裁机构另有决定外,均由败诉一方负担。仲裁也可在双方同意的第三国进行。

_是根据中华人民共和国法律正式成立并注册的企业法人(简称“买方”);_____国
_____公司(简称“卖方”)。
鉴于卖方多年来从事_____系统的设计、生产、销售业务并为该系统提供服务,并
在进一步开发;
鉴于买方愿意建立一个_____系统;
鉴于引进_____系统将会提高科学技术水平,改进_____的质量和类型,在先
进技术产品的使用及服务方面提供培训机会,并且通过创造一种平等、积极的工作环境促进
工人的权利和尊严,从而对中国人民做出贡献;
鉴于按照平等互利的原则,经友好协商,买方已决定它愿成为_____系统的使用人
,而卖方愿意提供该等系统供买方使用。
因此,考虑到本合同中所含的相互条款和协议,现双方特协议如下:

下列词语在本合同中应有如下含义:

3.系统的提供
(a)卖方根据作为本合同一部分的产品说明和规格及交货和安装时间表提供系统,买
方根据作为本合同一部分的价格和支付条件就系统付款。
(b)在买方订购的_____系统可以提供使用之前,卖方应根据本合同附件七租赁
合同所规定的条款将此系统租赁给买方。买方承认并同意,卖方可以自行决定,通过改进租
赁给买方的_____系统、提供一个不同的系统或者将前述两个系统结合起来,提供买方
所订购的_____系统。
4.交货和安装
(a)系统按附件二规定的交货时间表交付。运费将加在卖方发票上,由买方支付。买
方有权指定承运人,并以书面形式将其所选择的承运人通知卖方。如果买方未将其所选择的
承运人通知卖方,卖方将挑选承运人。但是,卖方不应因此承担有关运输的任何责任,并且
也不应将承运人视为卖方的代理人。除非买方要求,卖方没有义务为买方取得保险。
(b)卖方或其指定的服务供应商应在买方指定的中华人民共和国境内设施上安装__
___系统。安装费应加在卖方发票上,由买方支付。买方应根据本合同的安装时间表,按
照预先交给买方的场地准备指南所规定的规格,负责按时完成任何必要的现场准备及买方设
施的修改。必要时,买方应按照场地准备指南提供其他测试设备及物资(包括但不限于占地
面积、电源插座、中继电缆、卫星设施等)。买方应负责一切该等设施、准备、设备、物资
以及为此所需的许可和批准,并支付其费用。
5.遵守卖方所在国出口管制法律
(a)卖方同意为买方从卖方购买的产品和技术,申请_____向中国出口产品和技
术所必需的一切_____政府出口许可、同意和批准。如果卖方虽尽其最大努力仍不能取
得该等产品和技术从_____合法出口中国所需的任何及一切许可、同意和批准,则本合
同立即终止,卖方免除履行,并且买方使卖方不受损害。
(b)买方特承诺遵守_____出口法律及法规,并且同意,在未取得必要的___
__政府批准许可的情况下,买方不会故意:
(i)直接或间接地向在出口时_____政府或其任何机构要求出口许可或其他政府
批准的任何国家出口从卖方获得的、源于_____的技术资料、软件或该技术资料的任何
直接产品;
(ii)向_____政府或其任何机构要求出口许可或其他政府批准的任何国家国民
透露从卖方获得的、源于_____的任何技术资料或软件。
6.所有权和损失风险
本合同项下购买的一切物品的所有权及损失风险,应在卖方设施所在地,于该等物品交
付承运人后转移给买方。在购买价款全部支付前,买方授予卖方对该系统的担保权益,作为
买方按照本合同付款的保证。在交付承运人后,系统或其任何部分的损失或损坏应由买方负
责。在损失风险转给买方后,卖方应有权得到所损失或损坏的任何物品的全部购买价款。
7.验收测试和验收
(a)系统的验收测试应依照卖方的验收测试程序进行。卖方和其指定的服务供应商应
根据前述测试程序进行验收测试。如果任何该等测试没有成功完成,卖方或其指定的服务供
应商应对测试进行评估,并且对系统进行任何调整或校正,使系统能按规格运行。一切该等
测试的开始,应给予买方合理的事先通知,并且给予买方观察一切该等测试的合理机会。
(b)“成功完成”一词,在本合同中用于任何测试方面时,指在特定的测试程序中规
定的该等测试的成功完成,并且一切对测试的提及指的都是卖方验收测试程序中的测试。
(c)为附件三之目的,在系统的验收测试程序中规定的一切测试已在买方设施地点成
功完成时,系统的验收(简称“验收”)应被视为已经进行。
(d)卖方声明并保证,卖方将向买方交付完整、准确、有效的系统。该系统能够达到
在产品说明和规格中规定的技术指标,并由系统验收测试的成功完成予以证明。成功完成应
被视为系统完整、准确、有效并能达到规格所述技术指标的决定性证据。
8.装运到场和验收合格
(a)如果系统或其任何部分已按附件二规定的日期准备装运或安装,但根据买方请求
或者由于买方不能提供验收或安装系统所必需的设施、测试设备或物资而使该等装运或安装
延迟超过_____个日历日,则卖方可以根据其选择通知买方,系统或其任何部分作为已
事实上装运、交付并安装(简称“装运到场”)对待。此外,对于该等延迟所导致的一切储
存费或其他费用,买方应补偿卖方。
(b)通知装运到场后_____天,卖方有权按本合同附件三规定的交付条件就下列
款项向买方开出发票:
(i)装运到场的商用_____系统百分之百(100%)的购买价款:及
(ii)就_____系统而言,为该系统已实际装运情况下的到期金额,余额在验收
后开出发票。
(c)在附件二规定的装运或安装日期前后的任何时候,有以下任一情形的,买方即对
系统或其任何部分进行了合格验收(简称“合格验收”):
(i)买方决定并书面通知卖方,系统适宜开始买方拟用系统进行的操作;
(ii)系统已经开始买方拟用系统进行的操作。
(d)合格验收应具有与上述第8(b)条相同的结果,但_____系统的到期金额
应为迄今已付金额与百分之九十(90%)的验收后到期金额的差额,余额在验收后开发票
。
(e)装运到场和合格验收都不免除卖方在本合同项下的任何责任,包括验收测试的成
功完成以及按本合同条款和条件对瑕疵或缺陷进行纠正。
9.税收
销售设备和在中国提供修理及安装服务的价款不包括一切派款、关税、销售税、使用税
、国内消费税、增值税及类似税收(含买方政府从原扣缴的金额),买方应承担并支付上述
税款。任何要求卖方就销售、交付或使用系统所收、缴的税款(卖方的所得税除外)应由买
方支付,并且该等税款应在系统交付后到期应付。买方同意就因买方过失的行为与不行为或
者因买方违反或不履行本第九条而导致的一切请求补偿卖方,使卖方不受损害并为其辩护。
10.付款
(a)作为卖方按本合同提供本合同系统及一切有关物品的全部对价,买方应支付卖方
在附件三中规定的系统购买价款。
(b)付款应按附件三进行。
(c)如果在发票金额或其任何部分到期时买方没有付款,买方特同意就一切该等金额
按年利率百分之十八(18%)或法律允许的最高利率向卖方支付从到期应付日期至付款日
期的利息。
11.操作手册和其他资料/培训
(a)卖方应在提供每个商用______系统时随附一份用户指南。
(b)卖方应向买方提供3份_____系统所有操作手册和安装指南。
(c)系统安装以后,卖方或其指定的服务供应商应在系统使用和操作期间给买方雇员
提供为期_____日的培训课程。
12.系统保证
(a)卖方声明并保证,卖方是本合同中向买方许可、租赁或销售的一切知识产权的所
有人或受益被许可人,并且卖方有权向买方许可、租赁或销售前述知识产权。卖方保证本合
同项下提供的系统和一切设备及有关软件(除控制用计算机及控制用计算机操作系统软件)
自验收日期后的一年内没有品质及工艺方面的瑕疵,但商用及用户_____系统除外,两
者的保证期应自装运日期后为期一年。卖方在该期间内应免费在买方场地修理、更换并重新
安装_____系统或其任何有瑕疵的部分。卖方保证不包括控制用计算机或系统中包含的
控制用计算机操作系统软件,但卖方应(在可转让的范围内)向买方转让任何著名生产厂商
对控制用计算机或系统中包含的控制用计算机操作系统软件的保证。如果不存在验收日期后
为期一年的该等转让保证,卖方应为买方利益并作为购买价款的一部分,为该等控制用计算
机及操作系统软件购买硬件和软件维修续期合同,以取代保证,该维修续期合同应自验收日
期后为期一年。如果由于保证范围外的瑕疵或正常使用和常规安装外的原因导致修理和更换
,买方应对卖方为纠正该等瑕疵所提供的一切劳务和物资(包括差旅费)向卖方付款。
(b)本合同规定的保证仅适用于常规安装、正常使用并在保证期间内发现瑕疵的物品
。该等保证不应适用于未经卖方书面同意而修改、改动或者被滥用、发生事故、过失或不当
使用的物品。
(c)本合同规定的保证取代对系统性能的一切其他明示或默示保证,包括但不限于关
于适销性或适合某一特殊用途的任何默示保证。买方就卖方违反本合同规定的任何保证享有
的唯一救济应是卖方为履行该等保证而进行的修理和(或)更换。卖方在任何时候都不对视
听或数据信号的任何损失、业务中断或者任何种类或性质的特殊、间接或结果性损害负责。
卖方不对买方过失或过错所导致的履行本条项下义务的延迟负责。
13.非保修性修理及备件支持
(a)在(i)系统验收满_____年之日,或(ii)买方停止系统操作之日(依
较早者)前,卖方应提供系统的修理服务和/或备件(简称“支持期”)。双方理解,对不
在保证范围内的备件及修理,卖方应按其当时的原料价或备件价格收费,并在工作完成后尽
快开出发票。卖方在本合同或其他合同项下,没有义务向未就任何该等备件或修理及时付款
的任何人进一步提供备件或修理服务。
(b)在支持期之后,卖方提前6个月书面通知买方其要中止提供系统的备件或修理服
务的,可以中止提供。但是,卖方可以选择以下其中一项:
(i)授予买方为自用而非出售之目的而制造任何该等系统组件(不包括控制用计算机
或其操作系统软件)的非排他性许可,并向买方提供一切必需的文件、规格、图纸及其他资
料;
(ii)允许买方有机会购买其认为是系统维修和支持所需的足量备件。
(c)为本合同之目的,如果在_____系统装运后的任何_____个月内,买方
没有在正常使用的仪器上使用卖方提供的系统,作为其正常使用的一部分,编译或拆译信号
码,共计至少为_____小时,或者在该等装运后连续_____个月内,买方在每__
___个月内没有在正常使用的仪器上使用卖方提供的系统,作为其正常使用的一部分,编
译或拆译信号码,共计至少为_____小时,则买方应视为“停止系统操作”。
14.维修续期
在本合同规定的_____系统的保证期届满前,卖方和/或其指定的服务供应商应给
买方提供机会,签订一份_____系统(包括有关控制用计算机的软件,但不包括控制用
计算机的硬件平台)的维修续期合同,并可连续续展一年。
15.系统许可
(a)控制用计算机的操作系统软件按本合同附件五规定的操作系统许可人进行分许可
的条件和条款向买方提供。
(b)系统操作所需的一切卖方软件按本合同附件四规定的许可向买方提供。
(c)本合同未在涉及卖方所有的任何产品、系统或者卖方拥有的或由卖方分许可的任
何所有权方面给予技术转让或转移。在本合同项下,也未给予授予分许可的权利,亦不能从
中推断出或暗示有分许可权。
16._____系统的安全要求
双方同意制定_____系统的安全计划,为防止系统在装运、储存、操作或双方进行
与本合同有关的其他活动期间(包括保证期和保证期后)被盗窃或有其他泄露,该计划规定
将要建立并保持的安全程序。目前的_____系统安全要求以前已提供给买方。买方同意
采用和遵守并(或)促使其代理人采用和遵守卖方不时建议的替代和补充安全要求。
17.设备提前订购的时间
作为本合同标的设备,交付日期在附件二中规定。其他设备的提前订购时间如下:

买方将对希望交付的设备提供为期_____个月的使用。使用的头_____个月被
视为确定订货,如取消订单,则要受附件三规定的取消订货惩罚。
18.相互声明
各方声明并保证:
(a)它是在其州内或国内正式成立和注册的,符合各项规定,它有权力和授权签订并
履行本合同及由其签署并递交的、与之有关的任何其他协议和文件(在本合同中,统称“文
件”)。
(b)其签署、递交和履行文件已经通过一切必要的行为获得正式授权。
19.保密
(a)买方同意使用至少与买方适用于自身专有资料相同的谨慎与防范措施,对卖方向
买方透露的、包含专有资料并标明“专有”或“保密”的任何资料或数据,如卖方的图纸和
软件(包括但不限于设计、报告、软件文件、手册、模型等等)予以保密,但无论如何,谨
慎不得低于合理程度。未经卖方书面允许,不得复制、向他人透露或者使用该等资料或数据
。这些义务不适用于下述任何资料或数据:在未违反本条的情况下属于或成为公共资料的资
料或数据;买方合法地从第三方获得的资料或数据;买方独立开发并且未从卖方资料或数据
中获益的资料或数据。卖方没有义务提供保密或专有资料;
(b)买方在本条项下的义务应在本合同终止或届满后继续有效。由卖方提供给买方的
一切有形专有资料属于并保持为卖方的财产,并应在卖方请求时退还给卖方;
(c)除在本合同中有明确规定,双方同意,卖方对保密或专有资料的透露并不意味向
买方授予卖方任何专利、商业秘密或版权的许可;
(d)任何一方未经另一方每次书面明示同意(该等同意不得被无理拒绝或拖延),不
得在推售、广告、公关活动中或以任何其他形式,使用另一方、其母公司、子公司、其他关
联公司的名称或者任何商标或商号(或象征)。
20.补偿
(a)每方应就其按本合同规定履行其本合同项下义务所导致的、与其有关的或由其引
发的一切损失、损害、责任、支出、费用、索赔、诉讼、要求、诉讼行为、诉因、程序、判
决、估定税额、欠额以及收费(合称“损害”)补偿另一方、另一方的股东、董事、管理人
员、雇员、代理人、被指定人、受让人或其中任何一人,使之不受损害,并且在不对上文所
述予以限制的条件下,买方还应就下述各项所导致的、与其有关的或由其引发的上述任何事
项补偿卖方:(略)。
(b)如果第三方提出一方按本合同规定有权获得补偿的索赔请求,一方(“受补偿方
”)应在实际可能的情况下尽早通知另一方(“补偿方”),但无论如何不得迟于在收到该
等请求后的第_____日。受补偿方未给予该通知并不排除其按本合同规定寻求补偿,除
非未给予该通知使补偿方抗辩该索赔请求的能力受到实质影响。补偿方(与其自行选择的律
师一起)应及时对该索赔请求进行抗辩,而受补偿方应在对该索赔请求进行抗辩时与补偿方
合作,包括按照补偿方规定的原则就该事项达成和解(补偿方承担该和解的一切费用与支出
)。如果补偿方收到索赔通知后未为受补偿方辩护,则受补偿方应有权对该索赔进行抗辩、
妥协或和解,费用由补偿方承担。在承担对该等索赔请求的辩护后,补偿方可进行和解、妥
协或抗辩,由其酌处。
无论本条有何相反的规定,如果发生对买方的诉讼、索赔、诉讼行为或程序是基于以下
主张,即卖方制造并销售给买方的物品侵犯了任何第三方的_____国专利、版权、掩模
、商标、商业秘密或其他任何知识产权,则卖方将就该诉讼、索赔、诉讼行为或程序为买方
辩护,并将支付终局判决(不能再上诉的)判定由买方承担的损害赔偿与费用,以及买方实
际的支出与费用,上述规定的条件是:(1)卖方被及时告知侵权指控的发生,并得到与该
侵权指控有关的每一通讯、通知或其他诉讼文书的副本,(2)得到该辩护的独家控制权(
包括选择律师的权利),以及就该诉讼或程序进行妥协或者和解的独家权利;但是,卖方在
本合同项下的责任(如果有的话),应严格地并且仅仅限于卖方因买方销售侵权物品而应从
买方获得的特许权使用费收入金额。如果侵权是由卖方交货后有人将物品混合、添加或改造
而引起,或者由实施某一方法时使用物品(或其任何部分)而引起,则卖方无义务进行辩护
,亦无承担费用或损害赔偿的责任。
如果卖方制造并向买方提供的任何物品被判定侵犯有效的_____国专利,且卖方被
禁止使用该专利,或者如果卖方相信很可能发生侵权,卖方将尽一切合理的努力,自费从以
下措施中作出选择:(1)为买方取得使用该等物品而不产生侵权责任的权利,或(2)以
在其他方面实质上符合本合同所有规定的非侵权替代品来代替或改造该等物品,或(3)在
该等物品被返还后,退还该等物品的购买价以及运费(扣除向买方交货至退还期间使用该等
物品并从中获得利益的折扣金额,该折扣金额按从卖方装运之日起_____年直线式折旧
来计算)。如果交货完成前发生侵权指控,卖方有权拒绝进一步装运,而不构成违约。如果
卖方还没有被禁止向买方销售该等物品,应买方请求,卖方可以(仅由卖方酌定)向买方供
应该等物品,在此情况下,买方应被视为向卖方做出与本合同上文所述相同的专利补偿保证
。
如果有人指称卖方按照买方规格制造的物品侵犯了有效的_____国专利,并以此为
根据向卖方提起诉讼或程序,则买方应被视为已向卖方做出同样的专利补偿保证。
买方应将第三方侵犯本合同项下许可给买方的知识产权及时通知卖方。如果第三方侵犯
该等知识产权,双方应互相合作,采取适当的行动制止该侵权行为。
上文规定了本合同双方就专利、版权、掩模、商业秘密、商标以及其他专有权利的侵权
(无论是直接的还是协从的)所承担的唯一责任,并且取代就其所做出的所有保证(明示的
、暗示的或法定的),包括(但不限于)_____中规定的不侵权保证。
21.责任的限度
买方同意,如果买方就所交付的任何系统或系统组件提出任何一种索赔,或就未能交付
该等系统或系统组件提出索赔(无论是何种行为方式),卖方在任何情况下均不承担金额超
过对其提出该等索赔的系统或系统组件购买价的损害赔偿。
在任何情况下,卖方均不就利润损失、失去用途、业务中断、或者任何种类的间接、特
殊或结果性的损失承担赔偿责任。
22.不可抗力
“不可抗力”指自然现象、火灾、意外事故、水灾、地震、罢工或工厂关闭、骚乱、暴
动或动乱、禁运、战争,任何将来的法律、命令、法规或其他政府行为,运输迟延、能源短
缺、原料短缺或在卖方合理控制之外的卖方供应商延迟交货。如果不可抗力的原因阻止、限
制、延迟或干扰卖方履行本合同,则应免除卖方对不可抗力所延迟或阻止的部分的履行,但
是,卖方应采取合理的措施避免或消除该等造成不履行的原因,并且一旦该等原因被消除,
则卖方应继续履行原受被消除原因影响的条款。
23.终止
(a)如果发生下列情况,买方或卖方应有权终止本合同:另一方为债权人利益转让其
权利,或者一位管理人、破产托管人或类似官员被指定管理该方的全部或任何部分财产或业
务,或者该方被宣告破产。
(b)如果买方疏忽或不按照本合同的条款付款,而且该情形在书面通知买方后___
__个工作日内未获补救,卖方应有权终止本合同。卖方可以(由其酌定)将买方补救的时
间期限延长。
24.不放弃权利
本合同一方免予追究对本合同任何条款的违反或不履行、或一方一次或多次未执行本合
同的任何条款或行使本合同项下的任何权利或特权,均不得被解释为对任何随后的违反或不
履行不予追究、或对本合同项下任何该等条款、权利或特权的放弃。
25.通知
一方按照本合同可能向另一方发出的所有通知、请求或其他通讯应以书面做出,各方通
讯地址如下:

本合同期间,双方的一切通讯均应以英文进行。
26.适用法律以及争议解决
除关于法律选择或律师费的支付外,本合同应适用_____法律,并按照_____
法律解释。
(a)协商。如果发生与本合同或其任何附件的效力、解释或执行有关的争议,双方首
先应争取通过友好协商解决该争议,如果一方向另一方发出通知开始协商之后的_____
日内,该争议未以此方式解决,则任何一方可按照本第二十六条的规定将该争议提交仲裁。
(b)仲裁。仲裁应在_____国际仲裁中心进行,仲裁应按照1976年12月5
日通过的《联合国国际贸易法委员会仲裁规则》(UNCITRAL)进行。该规则通过在
此款中提及而被视为本合同的一部分。
(c)仲裁程序
在仲裁过程中,应适用下列具体规定:
1.该仲裁的一切程序均应以英文进行;
2.仲裁员为三名,均应英文流利。买方和卖方各自指定一名仲裁员。第三名仲裁员由
_____国际仲裁中心主席指定,并担任仲裁庭的首席仲裁员;
3.仲裁费用(包括律师费以及双方的费用)应由败诉方承担;
4.当发生任何争议时以及对任何争议进行仲裁时,除争议事项外,双方将继续行使本
合同项下各自其余的权利,履行本合同项下各自其余的义务;以及
5.仲裁裁决应是终局的,对双方均有约束力,双方同意受其约束,并采取一切必要的
措施执行仲裁裁决。任何有管辖权的法院均可就仲裁的裁决做出判决,或者可向该法院申请
仲裁裁决的司法承认并发出执行令(视情况而定)。如果就仲裁裁决或就该裁决做出的判决
向法院请求司法承认并发出执行令,双方明示地放弃反对的权利,包括该方否则具有的以主
权国豁免权为理由的任何抗辩。
27.拘束力
该等条款和条件对本合同双方、其继受人以及允许的受让人均有约束力,且为其利益而
订立。
28.整个合同
本合同所含的条款与条件包括双方应本合同标的达成的全部协议与共识,并且合并与取
代之前所有的协议、共识以及声明。任何增加或修改除非以书面做出并由本合同双方签字,
均属无效。本合同以英文订立,正本一式四份,每方各执两份。
29.合同期限届满
本合同于生效日起_____年期满。

本附件五(“许可合同”)条款规定,在以下指明的若干计算机软件用作卖方按合同(
本附件五构成其一部分)所供系统的一部分或者与之一起使用的情况下,卖方即将该系统许
可给买方。
1.许可的授予
卖方(下称“许可人”)特此按本附件条款和条件向买方(下称“被许可人”)授予使
用和复制本许可合同第10条所列及产品规格所述软件程序的不可转让的非独家许可,而被
许可人特此按本附件条款和条件接受该许可。本许可合同第10条所列的、构成_____
控制系统的程序,与其任何拷贝、复制件或摘录一起,在本附件中统称为“程序”。除本附
件具体规定的以外,未授予任何许可,无论是明示的还是默示的。
2.使用限制
被许可人只可将程序用于卖方按本合同条款提供作为每个系统一部分的计算机,例外的
是,如果_____系统计算机因为发生故障不能操作,或在进行保养性维修、工程设计变
更、特制件或模型变换期间不能操作,则亦可将程序用在被许可人的备用计算机上,直到_
____系统控制用计算机修复到操作状态为止。被许可人只能将程序用于直接的内部操作
方面,在任何情况下均不得将程序供给他人使用。
事先未经卖方以书面形式同意,不得在_____系统控制用计算机硬件上安装、操作
或配置任何其他程序。这也包括可能由卖方提供的、不在本许可合同范围内的操作软件或应
用软件。
3.复制限制
被许可人不得复制程序或其任何部分,例外的是,被许可人只是为了备份、存档和将程
序置于适宜执行形式的,可以复制程序。所有经允许的复制件,都要清楚地标上与原先供给
被许可人之程序相同的、关于许可人所有权和版权的限制说明。经允许的复制件应以安全的
方式予以保存。
4.转让限制
除非本合同允许并经卖方事先以书面形式同意,被许可人不得出售、转让、许可、转移
或以其他方式提供程序。
5.所有权
程序产权属于许可人,程序或其任何部分的产权、所有权或技术并未因此转给被许可人
。被许可人承认,程序构成许可人的保密、专有资料和商业秘密,而不论程序或其他任何部
分是否已获得或者可能获得版权和(或)专利,程序乃是基于本合同项下被许可人与许可人
之间的保密关系而向被许可人透露的。
6.透露限制
除非本附件明确允许,被许可人不得将程序或其任何部分透露或者以其他方式提供给第
三方和被许可人没有必要授权其在业务中使用程序的任何雇员。被许可人应采取一切合理、
必要的步骤,保证许可人(或其雇员)不将程序或其任何部分透露或者以其他方式提供给任
何第三方。
7.保证
许可人保证其有权授予在本许可合同中所授予的许可,而且在验收之日起__年的期间
内(在此称为“保证期”),程序基本上能按规格所述的方式运行。许可人在该保证项下的
唯一义务是更正或替换已发现不合正常用途的任何程序。本保证明确替代一切其他明示或默
示保证,包括(但不限于)关于适销性和适合某一特定用途的默示保证。许可人不保证程序
和(或)其相关文件(如有的话)符合被许可人的要求,没有错误,或者能够不间断地操作
,其质量和性能方面的全部风险由被许可人承担。无论如何,许可人不负责赔偿特殊、杂项
或结果性的损失(包括但不限于营业利润损失、业务中断、业务资料丢失或其他金钱损失)
,即使已通知许可人有可能发生该等损失的,也是如此。
8.专利和版权补偿保证
对于向被许可人提起的诉讼,许可人同意自行承担费用为被许可人辩护,对于有管辖权
法院在上述任何诉讼的终局判决中判由被许可人承担的损害赔偿和费用,许可人将对被许可
人作出补偿,使之免受损害,其范围是判决基于这一主张,即在本许可合同所授予的许可范
围内使用程序构成对_____国任何专利或版权的侵权。适用上述规定的条件是,被许可
人已用书面形式及时将该项诉讼的主张和提起通知许可人,并允许许可人通过其律师对诉讼
进行辩护,给予许可人可以合理得到的一切资料、协助和授权,以便使许可人能够进行辩护
,另一个条件是,许可人在本许可合同项下的责任(如果有的话)应严格地并且仅仅限于许
可人因被许可人销售侵权产品而从被许可人处得到的特许权使用费收入金额,许可人有权控
制上述任何诉讼(包括上诉)的辩护及其一切谈判,其中包括达成任何和解或妥协的权利。
如在任何诉讼中程序被判为构成侵权,程序的使用被禁止,许可人可以自行承担费用选择承
担以下任何一项:(a)设法为被许可人取得继续使用程序的权利;(b)替换或修改程序
,使之不再构成侵权,并在实质上用同样的质量进行同样的服务;(c)在程序退还许可人
之后给予被许可人抵免,但要从中扣除使用、损坏和陈旧的折旧费。许可人对基于以下其中
一项的任何版权或专利侵权所提出的请求不负责任:(1)所用的不是当时未经变动的程序
释放;(2)被许可人停止操作系统;(3)被许可人未按附件三支付任何许可费或者未能
遵守本许可证合同的条款和规定,而且在书面通知其纠正后持续达到_____天。
本合同按以上(a)项或(b)项终止之后,被许可人应迅速将程序及其一切复制件还
给许可人,并在终止后_____个月内向许可人提交一份书面声明,证明从许可人那里收
到的程序和任何有关材料的原件或者就该许可所制作的复制件、摘录(包括部分复制和摘录
)均已还给许可人或者销毁。

附件六 最终用户软件分许可合同
卖方与“用户”已签订一份由用户从卖方购买某些设备和软件的合同(“销售合同”)
。整个软件及其任何部分均受数字设备公司(“设备公司”)向卖方授予的许可约束。
按照设备公司和卖方签订的原设备制造商(“制造商”)合同,卖方被授权批准设备公
司软件程序(“软件”)最终用户分许可合同。因此,卖方同意按照下列条款和条件向客户
授予分许可,而用户同意按照下列条款和条件接受该项分许可:
1.标准许可条款
A.软件许可的授予
一旦用户订单已全部付款,卖方即应视为已向用户授予以下规定的软件许可。对用户的
许可持续到按本合同规定终止之时为止。卖方向用户授予的许可以及用户在本合同项下的义
务受本条款和条件支配。除本合同规定的以外,卖方未授予任何软件许可,不论是明示的还
是默示的。
B.软件执行
(1)本软件许可合同附录一列明了软件本身以及可以在上面执行软件的处理机或配置
设备。“经许可的处理机”一词是指许可中具体规定的、具有以下任一情形的处理机或配置
设备:
i.其序号在卖方提供的卖方许可证或软件许可订单确认书上已有具体规定的;
ii.如果没有这种具体规定,软件按照许可首次在其上面执行的。
(2)用户可以在经许可的处理机上执行软件,而且只有在经许可的处理机上执行软件
所需的范围内,可以装入、复制或传送软件,但有以下两种例外:
i.在因发生故障而无法在经许可的处理机上执行软件期间,用户可以暂时在另一单个
处理机或配置设备上执行软件(诊断软件除外),并在暂时执行所需的范围内装入、传送或
者复制软件;
ii.用户可以按照_____国版权法的规定制作软件存档复制件。
C.修改与合并
用户可以:(i)修改软件(只能用机读形式),或者(ii)将已修改或未修改的软
件并入其他软件,以便形成只是为了在经许可的处理机上执行软件所要的适配件。上述适配
件中所含的软件任何部分继续受本条款和条件约束。
D.软件的使用
1.在按本合同执行分许可所需的范围内,用户可以将软件提供给其雇员和代理人使用
。除本D款所指明的以外,用户不得以任何形式将软件提供给任何一方使用。
2.软件含有任何保密或商业秘密资料的范围内的,软件及其所含的资料即按保密关系
许可给用户。用户明确承认这种保密关系的存在,并同意按本合同规定对软件和资料予以保
密。
E.个人和非排他性的许可
用户的分许可是给用户个人的和非排他性质的,未经设备公司明示同意,不得转让。
F.记录
1.用户应做出完整、准确的记录,(i)用以辨认软件和经许可的处理机;(ii)
标明软件位置。如卖方要求,用户应向卖方提供有关的记录,如卖方有理由认为,软件已在
许可期间提供给任何第三方或者在任何其他处理机或配置设备上执行(本条款和条件许可的
除外),用户应向许可人解释说明。
2.用户同意在软件的所有完整或部分复制件、适配件或传送件上复制设备公司的版权
通知及其他所有法律通知,包括(但不限于)其他所有权通知和政府机构要求进行的通知。
G.许可限制;反向设计
卖方未向用户或任何第三方转让任何软件的产权或所有权。除本条款和条件明确规定的
以外,用户不得执行、使用、复制或修改软件,或者采取与设备公司对软件的知识产权不符
的行动。用户不得以反向设计软件或者反向设计软件的任何硬件、固件执行为目的,拆编、
反装、分析或以其他方式研究软件。
2.许可终止
A.如果用户疏忽或者未能履行、遵守其在本条款和条件项下对设备公司或卖方承担的
任何义务,而且这种情况在书面通知用户后30日内未得到纠正,则卖方或设备公司可以终
止在本合同项下所授予的任何许可和已发出的任何软件订单。
B.终止,不论是卖方、设备公司终止的还是用户终止的,都适用于许可在经许可的处
理机上执行的所有软件版本。
C.在用户所作的任何终止生效之前,卖方或者设备公司作出任何终止的,用户应(i
)交还卖方或者设备公司提供的任何许可证;(ii)销毁用户所掌握的各种软件版本的所
有复制件;(iii)从用户所制的任何适配件中消除软件的各个版本的所有部分,并予以
销毁;(iv)用书面形式证明所有复制件(包括用户适配件中所含的一切复制件)已经销
毁。

5.
Delivery and Installation
(a)
Delivery of the System will be made in
accordance with the
delivery schedule set
forth in Annex B. Shipping charges are specified
in
Annex C. Buyer shall have the right to
specify the carrier and shall
instruct
Seller of its choice in writing. In the
absence of such
instructions, Seller will
select the carrier, but shall not thereby assume
any liability in connection with shipment,
nor shall the carrier be
considered the
agent of Seller. Unless requested by Buyer,
Seller shall
have no obligation to obtain
insurance for Buyer or assist the Buyer with
any shipping claims.
(b) The Seller
shall, immediately upon the completion of the
loading
of the goods, advise the Buyer by
cabletelex of the loading of the goods,
the
contract number, commodity, quantity, invoiced
value and gross weight.
(c) Seller or its
designated service provider shall install the
_________ System at Buyer's designated
facility in the People's Republic
of China.
Installation charges are specified in Annex C.
Buyer shall be
responsible for timely
completion, in accordance with the
Installation
Timetable herein (Annex B), of
any necessary on-site preparations and
modifications of Buyer's facilities
based on the specifications set forth
in the
Site Preparation Guidelines previously provided
to Buyer. Buyer
shall provide additional
test equipment and resources (including but not
limited to floor space, power outlets,
interconnecting cables, racks,
satellite
facilities and the like), if needed, in accordance
with the Site
Preparation guidelines. Buyer
shall have the responsibility for and shall
pay for all such facilities, preparations,
equipment, resources, licenses
and permits
required thereof.
6. Compliance
with Export Control Laws of the Seller's Country
(a) Seller agrees to apply for all
_____________ Government export
licenses,
permits and approvals required for the
exportation from
___________ to China of the
products and technology to be purchased by
Buyer from Seller. In the event that, despite
Seller' s best efforts,
Seller is unable to
obtain any and all license, permits and
approvals
needed to lawfully export such
products and technology from __________ to
China, this Contract is immediately
terminated, the Seller and Buyer are
excused
from performance, and each Party agrees to hold
the other Party
harmless.
(b) Buyer
hereby undertakes to comply with the export
laws and
regulations of __________ and agrees
that, without obtaining the necessary
license
of approval from the Government, Buyer will not
knowingly (i)
export, directly or indirectly,
any origin technical data or software
acquired from Seller, or any direct product of
that technical data, to any
country for which
the Government or any agency thereof at the
time of
export requires an export license or
other governmental approval; or (ii)
disclose
any origin technical data or software acquired
from Seller to any
national of any country for
which the Government or any agency thereof
requires an export license or other
governmental approval.
(c) Within
__________months of the signing of this
contract, the
Seller agrees to inform the
Buyer of the status of the Seller's
application for the Government export
licenses, permits and approvals
required
for the exportation from __________to China of the
products and
technology to be purchased by
Buyer from Seller.
7. Title and Risk of Loss
The items
purchased by the Buyer shall be delivered C.I.F.
_________
in accordance with INCOTERMS 1990.
Therefore, the risk of loss for the
items
purchased by the Buyer shall be borne by the
Seller until the items
are delivered to the
export carrier. After delivery of the items
purchased
by the Buyer to the export carrier,
the title and risk of loss for the
items
purchased by the Buyer shall pass to the Buyer.
8.
Acceptance Tests and Acceptance
(a)
Acceptance testing of the System shall be in
accordance with
Seller's Acceptance Test
Procedure. Seller or its designated service
provider shall conduct the acceptance tests in
accordance with said Test
Procedure. If any
such test is not Successfully Completed (as
defined
below), Seller or its designated
service provider shall evaluate the test
and
make any adjustments or corrections of the System
as will result in
performance of the System
in accordance with the Specifications. Buyer
shall be given reasonable prior notice of the
commencement of, and the
reasonable
opportunity to observe, all such tests.
(b) The term with
respect to any test, means
successful completion of such test as defined
in the particular test procedure and all
references to test denote the
tests in
Seller's Acceptance Test Procedure.
(c)
Acceptance of the System ( of Annex C
shall
be deemed to have occurred when all tests
set forth in the
Acceptance Test Procedure
for the system at Buyer's facility have been
Successfully completed.
(d) Seller
represents and warrants that it will deliver to
Buyer a
complete, correct and valid system,
capable of accomplishing the technical
targets
specified in Product Description and
Specifications, as
demonstrated by
Successful Completion of the Acceptance testing
of the
System. Successful Completion shall be
deemed as conclusive proof that the
System is
complete, correct and valid, and capable of
accomplishing the
technical targets set forth
in the Specifications.
9. Shipment in Place and Qualified Acceptance
(a) In the event that the System or any
part thereof is ready for
shipment or
installation in accordance with the dates set
forth in Annex B
and such shipment or
installation is delayed more than _________
calendar
days pursuant to Buyer's request or
because Buyer is unable to provide the
necessary facilities, test equipment or
resources for receipt or
installation of
the System, Seller may, at Seller's option,
notify Buyer
that the System or any part
thereof is being treated as though actually
shipped, delivered and installed ( Buyer
shall reimburse Seller for all storage or
other expenses which Seller
incurs by
reason of such delay.
(b) __________ days
following notice of Shipment in Place Seller shall
be entitled to invoice Buyer in accordance
with the payment terms set
forth in Annex
C hereto (i) for one hundred percent of the
purchase price
for commercial __________
system Shipped in Place, and (ii) with respect
to Systems, the amount that would have been
due had the System actually
been
shipped, with the balance to be invoiced upon
Acceptance.
(c) Qualified acceptance by
Buyer of the System or any portion thereof
(
or after
the scheduled shipment or
installation dates set forth in Annex B,
i) upon determination by Buyer, and written
notification to
Seller, that the System, is
suitable to commence the operations for which
Buyer intends to use it; or
ii)
that the System has commenced the operations for
which Buyer
intends to use it.
(d)
Qualified Acceptance shall have the same
consequences as those set
forth in Section 8
(b) above except that the amount due for Systems
shall
be the difference between the amount
paid to date and _________ percent of
the
amount that would have been due upon Acceptance,
with the balance to
be invoiced upon
Acceptance.
(e) Neither Shipment in Place
nor Qualified Acceptance shall relieve
Seller from any of its responsibilities under
this Contract, including
Successful
Completion of the Acceptance Tests and correction
of defects or
deficiencies in accordance with
the terms and conditions hereof.
10. Taxes
(a) Any and all taxes,
levies, customs duties, sales, use, excise,
value added and similar taxes to be levied on
the Buyer in connection with
the performance
of this Contract for the sale of goods and
repair and
installation services, which are
now existing or which may be hereinafter
imposed by any People's Republic of China
governmental entity, shall be
borne and
paid by the Buyer.
(b) All taxes in
connection with the execution of this
Contract
imposed by any People's Republic of
China governmental entity on the
Seller,
and all taxes in connection with the execution of
this Contract
imposed by any ___________
governmental entity on the Buyer, in accordance
with the tax laws which are now existing or
which may be hereinafter
imposed and the
Agreement between the Government of ____________
and the
Government of the People's Republic
of China for the Avoidance of Double
Taxation and the Prevention of Fiscal Evasion
with Respect to Taxes on
Income, shall be
borne and paid by the Seller and Buyer,

three (3) copies of all operating
manuals
and installation instructions for the System,
as well as
maintenance manuals.
(c)
Prior to installation of the System, Seller shall
provide Buyer's
employees with a training
course in the use of the System , as well as in
computer management techniques.
Furthermore, these employees shall observe
the Acceptance Test
Procedure (ATP).
The training course and ATP described in this
Article 11 (c) shall
take place over a
________ day period at the Seller's
facilities in
_____________, and all related
expenses shall be borne by the Seller.
(d)
Following installation of the System, Seller or
its designated
service provider shall provide
to Buyer's employees a training course of
up
to ________ days in duration on-site at Buyer's
facility.
12. System Warranties
(a) Seller
represents and warrants that it is the owner, or
beneficial
licensee, of all intellectual
property rights herein licensed, leased or
sold to Buyer, and that it has the right to
license, lease or sell the
same to Buyer.
Seller warrants that the System and all
equipment and
related software furnished
under this Contract (except for the Control
Computer (s) and Control Computer (s)
operating system software), shall be
free from
defects in material and workmanship for a period
of one (1) year
after date of Acceptance,
except with respect to Commercial and Consumer
_________ system, for which the period shall
extend for one (1) year after
date of
shipment. During such period Seller shall repair
or replace and
reinstall at Buyer's premises
the System or any defective portion thereof
without charge. Seller's warranty does not
cover the Control Computer or
the Control
Computer's operating system software included in
the System,
but Seller shall assign any
outstanding manufacturer's warranty thereof to
Buyer, to the extent assignable. If there is
no such assigned warranty
that extends one
(1) year beyond Acceptance, Seller shall
purchase, in
lieu of warranty, for the
benefit of Buyer and as part of the purchase
price, an extended hardware and software
maintenance contract for such
Control
Computer and operating system software which
maintenance contract
shall extend for a one
(1) year period after acceptance. If any repair
or
replacement results from a defect not
covered by the warranty or from
causes
other than normal usage and regular installation,
Buyer shall pay
Seller for all labor and
materials (including travel expenses) provided by
Seller in its attempt to remedy such
deficiency.
(b) The warranties set forth
herein shall apply only to items which,
after regular installation and under normal
usage, are found to have been
defective
within the warranty period. Such warranties shall
not apply to
items that have been
modified or altered without Seller's written
approval, or have been subjected to
abuse, accident, negligence or
improper
application.
(c) The warranties set
forth herein are in lieu of all other
warranties as to performance of the system,
express or implied, including
without
limitation any implied warranties of
merchantability or fitness
for a particular
purpose. Buyer's sole and exclusive remedy for any
breach
by Seller of any of the warranties set
forth herein shall be for Seller to
make such
repairs andor replacements necessary to
fulfill such
warranties. in no event shall
seller be liable for any loss of audio,
video or data signals, interruption of
business, or special, indirect or
consequential damages of any kind or nature
whatsoever. Seller shall not
be responsible
for delays in performing its obligations under
this Article
resulting from Buyer's negligence
or fault.
13.
Nonwarranty Repairs and Spares Support
(a) Until the earlier of (i) _______ years from
the Acceptance of the
System, or (ii) the
date Buyer Ceases to Operate the System, Seller
shall
offer to provide repair services andor
spare parts for the System
( charges for
spare
parts andor repairs not covered by
warranty shall be at Seller's then
current
time and material rates or spare parts prices
and shall be
invoiced as soon as work
involved is completed. Seller shall have no
obligation hereunder or otherwise to provide
further spare parts or repair
services to any
person that has failed to pay promptly for any
such spare
parts or repairs.
(b)
Subsequent to the Support Period, Seller may
discontinue offering
spare parts andor repair
services for the System upon _________ months
prior written notice to Buyer of
Seller's intended discontinuance,
provided
however, that Seller, at Seller's option, either
(i) grants to
Buyer a nonexclusive license
to make or have made for Buyer's own use and
not for sale any such System components
(exclusive of the Control Computer
and
its operating system software) and furnishes
Buyer all necessary
documentation,
specifications, drawings and other data, or
(ii) allows
Buyer the opportunity to purchase
sufficient quantities of spare parts as
Buyer
deems necessary to maintain and support the
System.
(c) For purposes of this Contract,
Buyer shall cease to operate the
system if
Buyer does not use the System furnished by Seller
as part of the
regular use on a regularly used
satellite transponder to encode and decode
signals.
14. Extended Maintenance
Prior to the
expiration of the warranty period for the
System set
forth in this Contract, Seller
andor its designated service provider
shall offer to Buyer the opportunity to enter
into an extended maintenance
contract with
respect to the System (including the related
Control
Computer software but excluding the
Control Computer hardware platform),
renewable for successive and consecutive
________ year periods. Seller and
Buyer shall
discuss proposals for establishing a service
center in ______,
with the participation of
Buyer, for the servicing of the system. Seller
and Buyer shall also discuss proposals for
future joint cooperation on
other projects
within China.
15. System
Licenses and Condition Precedent to Effectiveness
(a) The Control Computer's operating
system software is provided to
Buyer under
the terms and conditions of a sublicense from
the operating
system licensor, as set forth
in Annex F herein.
(b) All Seller's
software required for operation of the System and
the
system is provided to Buyer under the
license set forth in Annex E herein.
(c)
No technology transfer or assignment is
granted under this
Contract with respect to
any products, or systems owned by Seller or any
proprietary rights owned or sublicensed by
Seller. No right to grant
sublicenses is
granted or is to be inferred or implied
under this
Contract.
(d) Relevant PRC
regulations may require Buyer to obtain the
approval
of the Ministry of Foreign Trade and
Economic Cooperation ( a
precondition for the
effectiveness of (a) the sublicense of the
Control
Computer's operating system software
to Buyer from the operating system
licensor, as set forth in Annex F herein and
(b) the license of Seller's
software which
is required for operation of the System, to Buyer
as set
forth in Annex E herein (collectively,
the Within _________
working days of the
execution of the Contract, Buyer and Seller
will
jointly confer with MOFTEC to determine
whether MOFTEC's approval
required for the
effectiveness of the Annexes. If MOFTEC informs
Buyer and
is
Seller to the
satisfaction of Buyer and Seller that the
Annexes do not
require its approval, the
Contract shall become effective upon such
communication. If, on the other hand, MOFTEC
informs Seller and Buyer that
the issuance of
its approval is a precondition for the
effectiveness of
the Annexes, then this
Contract shall become effective only upon
the
issuance of such approvals.
If the
foregoing conditions are not fulfilled within
________ days
after the Contract execution
date and Buyer and Seller do not agree in
writing to waive such condition or to extend
the time for its fulfilment,
the Seller shall
in such event be entitled to terminate the
Contract
forthwith and neither Party shall
have any further obligations or
liability
towards the other Party under this Contract.
16. System Security
Requirements
The parties shall agree
to institute a System security plan for the
System, which plan outlines security
procedures that will be established
and
maintained in order to prevent theft or other
compromise of the System
during the shipment,
storage, operation or any other phase of the
parties'
activities in connection with this
Contract, including the warranty and
post-
warranty periods. Buyer agrees to adopt and comply
with andor cause
its agents to adopt and
comply with reasonable alternate or additional
security requirements Seller may from time to
time recommend.
17. Equipment Order Lead Times
Delivery dates for the equipment which is the
subject of this Contract
appear in Annex B.
Order lead times required for additional equipment
are

Buyer will
provide a rolling ________ month forecast of
equipment
desired for delivery. The first

considered firm orders, subject to
cancellation penalties set forth in

18. Mutual
Representations
Each party represents
and warrants that:
(a) It is duly
organized and registered and in good standing in
its
state or country and has power and
authority to enter into and perform
this
Contract and any other agreements and documents
executed or delivered
by it in connection
herewith (collectively, with this Contract,
Documents
(b) Its execution, delivery
and performance of the Documents have been
duly authorized by all necessary action.
19.
Confidentiality
(a) Buyer agrees that
any information or data such as Seller' s
drawings and software (including, without
limitation, designs, reports,
software
documentation, manuals, models, and the like),
revealed by Seller
to Buyer and containing
proprietary information marked or identified as
with at least the same care and safeguards
as are applied to Buyer's own
proprietary
information, but in no event with less than
reasonable care.
Such information or data
shall not be duplicated, disclosed to others, or
used without the written permission of Seller.
These obligations shall not
apply to any
information or data which is in or comes into
the public
domain without violation of this
provision; or is received lawfully by
Buyer from a third party; or is developed
by Buyer independently and
without benefit
of the information or data received from Seller.
Seller
shall have no obligation to
provide confidential or proprietary
information.
(b) Buyer's obligations
under this clause shall remain in effect for
_______ years after this Contract is signed by
the Seller and Buyer. All
tangible forms of
Seller's proprietary information delivered by
Seller to
Buyer shall be and remain the
property of Seller, and shall be returned to
Seller upon Seller's request.
(c)
Except as expressly provided herein, it is agreed
that no license
under any patents, trade
secrets or copyrights of Seller is granted to
Buyer by the disclosure of Seller's
confidential or proprietary
information.
(d) Neither party shall use the name or
the name of any trademark or
trade name (or
symbolic representation thereof) of the other
party or its
parent, subsidiaries or other
affiliates, in marketing, advertising,
public relations efforts or in any other
manner without the express
written consent
of such other party in each instance, which
consent shall
not unreasonably be withheld or
delayed.
20. Indemnification
(a) Each party
shall indemnify and hold harmless the other party,
its
shareholders, directors, officers,
employees, agents, designees and
assignees, or any of them, from and
against all losses, damages,
liabilities,
expenses, costs, claims, suits, demands, actions,
causes of
actions, proceedings, judgments,
assessments, deficiencies and charges
(collectively, relating to or arising
from the
performance by such party in
accordance with this Contract of its
obligations hereunder, and Buyer shall also
indemnify Seller, without
limiting
the foregoing, for any such item caused by,
relating to or
arising from (a) the
programming services which are authorized for
viewing
using the System, including any
assertion that any such programming
service involves copyright infringement, (b)
any disputes between Buyer
and any of its
program distributors or other distributors or
affiliates,
(c) any disputes or claims
involving the subscribers for Buyer's
programming services, or (d) any assertion
that Buyer has been involved
in, that
Buyer's conduct of subscription involves, or that
Buyer's use of
the System involves, any
unfair competition or violations of laws, rules
or regulations.
(b) In the event
of a third-party claim, with respect to which a
party
is entitled to indemnification
hereunder, a party (the
Party
as soon
as practicable, but in no event later than
______ days after
receipt of such claims.
The Indemnified Party's failure to provide such
notice shall not preclude it from seeking
indemnification hereunder unless
such failure
has materially prejudiced the Indemnifying Party's
ability to
defend such claim. The Indemnifying
Party shall promptly defend such claim
(with
counsel of its own choosing) and the
Indemnified Party shall
cooperate with the
Indemnifying Party in the defense of such
claim,
including the settlement of the matter
on the basis stipulated by the
Indemnifying Party (with the Indemnifying
Party being responsible for all
costs and
expenses of such settlement). If the Indemnifying
Party within a
reasonable time after notice of
a claim fails to defend the Indemnified
Party, the Indemnified Party shall be entitled
to undertake the defense,
compromise or
settlement of such claim at the expense of the
Indemnifying
Party. Upon the assumption of the
defense of such claim, the Indemnifying
Party
may settle, compromise or defend as it sees fit.
Notwithstanding anything to the contrary
set forth in this Section,
Seller will
defend any suit, claim, action or proceeding
brought against
Buyer to the extent that such
suit, claim, action or proceeding is based
on a claim that goods manufactured and sold by
Seller to Buyer infringe
patent, copyright,
mask work, trademark, trade secret or any
other
intellectual property rights of any
third party and Seller shall pay all
damages
and costs awarded by final judgment (from which no
appeal may be
taken) against Buyer, as well
as its actual expenses and costs, on
condition that Seller (i) is promptly informed
and furnished a copy of
each
communication, notice or other action
relating to the alleged
infringement, (ii)
is given sole control of the defense (including
the
right to select counsel), and the sole
right to compromise and settle such
suit or
proceeding; provided however, that Seller's
liability hereunder,
if any, shall be
strictly and solely limited to the amount of
royalties
which would be payable in respect of
revenues derived by Seller from Buyer
from sales of the infringing goods.
Seller shall not be obligated to
defend
or be liable for costs and damages if the
infringement arises out
of a combination
with, an addition to, or modification of the goods
after
delivery by Seller, or from use of the
goods, or any part thereof, in the
practice
of a process.
If any goods manufactured
and supplied by Seller to Buyer are held to
infringe any valid patent and Buyer is
enjoined from using the same, or if
Seller
believes such infringement is likely, Seller
will exert all
reasonable efforts at its
option and expense (i) to procure for Buyer the
right to use such goods free of any liability
for such infringement, or
(ii) replace or
modify such goods with a noninfringing
substitute
otherwise complying substantially
with all the requirements of this
Contract, or (iii) upon return of the goods,
refund the purchase price and
the
transportation costs of such goods (less
reasonable allowance for
their use and
benefit derived therefrom for the period of
time from
delivery to Buyer, such
allowance being based on a straight-line
depreciation period of _______ years from the
date of shipment by Seller).
If the
infringement is alleged prior to completion of
delivery of the
goods, Seller has the right
to decline to make further shipments without
being in breach of contract. If Seller has not
been enjoined from selling
such goods to
Buyer, Seller may (at Seller's sole election),
at Buyer's
request, supply such goods to
Buyer, in which event Buyer shall be deemed
to extend to Seller the same patent indemnity
hereinabove stated.
The same patent
indemnity shall be deemed to be extended to Seller
by
Buyer if any suit or proceeding is brought
against Seller based on a claim
that the
goods manufactured by Seller in compliance
with Buyer's
specifications infringe any
valid patent.
Buyer shall promptly notify
Seller of any infringement by a third
party of intellectual property rights
licensed to Buyer under this
Contract. In
the event that a third party infringes such
intellectual
property rights, the Parties
shall cooperate with one another to take
appropriate action to cause such infringement
to cease.
The foregoing states the sole
and exclusive liability of the parties
hereto for infringement of patents,
copyrights, mask works, trade secrets
trademarks, and other proprietary rights,
whether direct or contributory,
and is in
lieu of all warranties, express, implied or
statutory, in regard
thereto, including,
without limitation, the warranty against
infringement
specified in the uniform
commercial code.
21. Limitation of Liability
Buyer
agrees that in no event shall Seller be liable
for damages
hereunder, or for any claim of
any kind as to any System or System
components delivered or for nondelivery of
such System or components,
regardless of the form of the action,
in an amount greater than the
purchase
price of the System or components in respect of
which such claim
is made.
In no event
shall Seller be liable for any loss of profits,
loss of
use, interruption of business, or
indirect, special or consequential
damages
of any kind.
22. Force Majeure
The term God,
fire, casualty, flood,
earthquake, strikes
or lockouts, riots, insurrections or civil
disorders,
embargoes, war, any future law,
order, regulation, or other act of
government, and other delays beyond
Seller's reasonable control. If
Seller's
performance of this Contract is prevented,
restricted, delayed or
interfered with by
reason of Force Majeure, Seller's performance
shall be
excused to the extent delayed or
prevented by Force Majeure, provided,
however, that Seller take reasonable steps to
avoid or remove such causes
of nonperformance
and shall continue performance whenever and
to the
extent such causes are removed.
If, due to a Force Majeure event, the Buyer
andor Seller cannot
accomplish its
contractual obligations for a period of _______
consecutive
months, the Buyer and Seller shall
meet and come to an agreement within
the
shortest possible period of time upon the
conditions on which they
could continue the
execution of this contract.
Should the
Buyer and Seller fail to agree on the conditions
of such
continuation, the matter shall be
referred to arbitration in accordance
with
Article 26 hereof.
23. Termination
(a) Buyer or Seller
shall have the right to terminate this Contract if
the other makes an assignment for the benefit
of creditors, or a receiver,
trustee in
bankruptcy or similar officer is appointed to
take charge of
all or any part of the
party's property or business or is adjudicated
a
bankrupt.
(b) Seller shall have the
right to terminate this Contract if Buyer
neglects or fails to make payment in
accordance with the terms hereof and
such
condition is not remedied within ____________
business days after
written notice to Buyer.
Seller may, at Seller' s option, extend the time
for Buyer's cure.
24. Nonwaiver of Rights
Neither the
waiver by a party hereto of a breach of, or a
default
under, any of the provisions of
this Contract, nor the failure of a party
on
one or more occasions, to enforce any of the
provisions of this
Contract or to exercise
any right or privilege hereunder shall thereafter
be construed as a waiver of any subsequent
breach or default, or as a
waiver of any
of such provisions, rights or privileges
hereunder.
25. Notices
All notices, requests, or
other communications which may be sent by
either party to the other party pursuant to
this Contract shall be in
writing and
shall be addressed as follows:

letter sent to the addresses set forth herein

receipt of notice

26. Applicable Law and Resolution of Disputes

(a) Consultations. In the
event any dispute arises in connection with

matter hereof and merge and supersede all
prior agreements,
understandings and
representations. No additions or modifications
shall be
effective unless in writing signed by
the parties hereto. The present
Contract

The terms
and provisions of this Annex E (License
Contract) provide
for the licensing by
Seller to Buyer of certain computer software
specified below where such software is used
either as part of or in
conjunction with
the System to be provided by Seller under this
Contract,
or which this Annex E forms a part
thereof.
1.
Grant of License
Seller (hereinafter
Licensor) hereby grants to Buyer (hereinafter
Licensee) and Licensee hereby accepts, a
nontransferable, nonexclusive
license to use
and copy, on the terms and conditions set forth
herein, the
software program (s) listed in
Article 10 of this License Contract and
described in the product specifications.
Said program (s) listed in
Article 10 of
this License Contract together with any
copies or
reproductions thereof or
excerpts therefrom, are herein collectively
referred to as the
except as specifically
provided herein.
2. Restriction on Use
Licensee may
use the Program solely and exclusively on the
computer
(s) furnished by the Seller under
terms of this Contract, as part of each
System, except that the Program may also be
used on Licensee's backup
computer if the
System computers are inoperative because of
malfunction or
during the performance of
preventive maintenance, engineering changes or
changes in features or model, until the
System control computer (s) is
restored to
operative status. Licensee shall use the
Program only in
connection with its
immediate internal operations, and shall not offer
or
supply the use of the Program to others
under any circumstance.
No other software
program can be installed, operated, or configured
on
the System Control Computer hardware
without prior written approval by
Seller.
This includes operating or application
software that may be
available from Seller
that is not covered by this License Contract.
3. Restriction on
Copying
Licensee shall make no copies
of the Program, or any part thereof,
except that Licensee may make copies of
the Program solely for the
purposes of
backup, archival storage and placing the Program
in a form
suitable for execution. All
permitted copies shall be clearly marked with
the same Licensor proprietary and copyright
restrictions which appear on
the Program
originally supplied to Licensee. Permitted
copies shall be
stored in a secure manner.
4. Restriction
on Transfer
Licensee shall not sell,
assign, sublicense, transfer, or otherwise
make available the Program, except as may be
permitted by this Contract
and only with
written prior consent by Seller.
5. Buyership Rights
Title to the
Program shall be and remain in Licensor, and no
title to
or ownership of or technology
transfer of the Program or any portion
thereof is conveyed or transferred to the
Licensee hereby. Licensee
acknowledges the
Program constitutes confidential and
proprietary
information and trade secrets of
Licensor, whether or not the Program, or
any
portion of it, is or may be copyrighted or
copyrightable andor
patented or patentable,
and that disclosure of the Program to Licensee is
on the basis of the confidential
relationship between Licensee and
Licensor
under this Contract.
6. Restriction on Disclosure
Except
as expressly permitted herein, Licensee shall not
disclose or
otherwise make available the
Program, or any portion thereof, to any third
party or to any employee of Licensee who is
not of necessity authorized by
Licensee to use
the Program in Licensee's business. Licensee
shall take
all reasonable steps necessary to
insure the Program, or any portion
thereof, is not disclosed or otherwise
made available by Licensee (or
employees
of Licensee) to any third party.
7. Warranty
Licensor warrants it has
the right to grant the license herein
granted, and for a period of one (1) year from
the date of Acceptance
(herein the in
the
manner set forth in the specifications.
Licensor's sole obligation
under this
warranty shall be to correct or replace any
Program found to be
defective from normal
usage. This warranty is expressly in lieu of
all
other warranties, express or implied,
including but not limited to, the
implied
warranties of merchantability and fitness for
a particular
purpose. Licensor does not
warrant that the program andor its associated
documentation, if any, will meet licensee's
requirements, be error free,
or operate
without interruption, and licensee assumes the
entire risk as
to its quality and
performance. In no event will licensor be liable
for
special, incidental, or consequential
damages (including, without
limitation,
damages for loss of business profits, business
interruption,
loss of business information or
other pecuniary loss) even if licensor has
been advised of the possibility that such
damages may arise.
8. Patent and copyright Indemnity
Licensor agrees that it will, at its own expense,
defend any action
brought against Licensee,
and indemnify Licensee against any award of
damages and costs made against Licensee by a
final judgment of a court of
competent
jurisdiction in any such action, insofar as the
same are based
on a claim that the Program
used within the scope of the license herein
granted constitutes an infringement of any
patent or copyright; provided
Licensee shall
have given Licensor prompt notice in writing of
the claim
and institution of such action, and
permits Licensor, through its counsel,
to
defend the same and give Licensor all reasonably
available information,
assistance and
authority to enable Licensor to so defend and
further
provided, that Licensor's liability
hereunder, if any, shall be strictly
and
solely limited to the amount of royalties which
would be payable in
respect to revenues
derived by Licensor from Licensee from sales of
the
infringing goods. Licensor shall have
control of the defense of any such
action
including appeals, and of all negotiations
thereof, including the
right to effect any
settlement or compromise. In case the Program is,
in
any action, held to constitute an
infringement and its use is enjoined,
Licensor shall, at its option and expense (a)
procure for Licensee the
right to continue
using the Program, or (b) replace or modify the
same so
that it becomes noninfringing and
performs the same service with
substantially the same quality, or (c)
grant Licensee a credit, less
reasonable
depreciation for use, damage and obsolescence,
upon return of
the Program to Licensor.
Licensor shall have no liability for any claim of
copyright or patent infringement based on: (1)
use of other than a current
unaltered release
of the Program; or (2) use of a current
unaltered
release of the Program with non-
Licensor Programs or data. The foregoing
states the entire liability with respect to
infringement of any copyrights
or patents with
regard to the Program.
9. Terms and Termination
The term of
this License Contract and the license granted
hereunder
shall commence on the date hereof,
and shall terminate on the earlier of:
(a)
when Licensee Ceases to Operate the System; or
(b) the failure of
Licensee to pay any
License fee or to comply with any of the terms
and
provisions hereof, which failure continues
for a period of ________ days
after written
notice to cure such failure and avoid termination.
Upon any termination of this Contract,
pursuant to (a) or (b) above,
Licensee shall
promptly return the Program and all copies
thereof to
Licensor, and shall, within
_______ months after any such termination
furnish Licensor a written statement
certifying that the original and all
copies
and extracts (including partial copies and
extracts) of the Program
and any related
material received from Licensor or made in
connection with
such license have been
returned to Licensor or destroyed.

obligations thereunder. Company grants no Software
licenses whatsoever, either explicitly or
implicitly, except as provided
in this
Contract.
B.
Software Execution
1. Attachment 1 to
this Software License identifies the Software
and
the processor or equipment configuration
on which the Software may be
executed.
The term Processor shall mean a processor
or
equipment configuration of the type
specified in the license:
i. the
serial number of which is specified in the Company
license
certificate furnished by Company
or in the Software license order
acknowledgement by Company or, if none is so
specified;
ii. on which the Software
is first executed pursuant to the
license
grant.
2. Customer may execute the
Software on the Licensed Processor, and
may
load, copy or transmit the Software, in whole or
in part, only as
necessary for execution on
the Licensed Processor, except that:
i. Customer may execute the Software (except
diagnostic Software)
on another single
processor or equipment configuration on a
temporary
basis during a malfunction which
prevents execution of the Software on the
Licensed Processor, and may load, transmit,
or copy the Software as
necessary for such
temporary execution; and,
ii. Customer
may make archival copies of the Software as
provided
in the Copyright Law of ____________
country.
C.
Modification and Merger
Customer may (i) modify the Software (in machine
readable form only)
or (ii) merge
modified Software or unmodified Software into
other
software, to form adaptations intended
solely for execution by Customer on
the
Licensed Processor. Any part of the Software
included in such
adaptations will continue
to be subject to these Terms and Conditions.
D. Access to
Software
1. Customer may make the
Software available to its employees and
agents to the extent needed to exercise its
sublicense hereunder. Customer
shall not make
the Software available in any form to any
parties except
those identified in this
Subparagraph D.
2. To the extent that the
Software contains any confidential or trade
secret information, the Software and the
information it contains are
licensed to
Customer pursuant to a confidential
relationship. Customer
expressly acknowledges
this confidential relationship and agrees to
keep
the Software and information in
confidence as provided herein.
E. Personal, Nonexclusive Licenses
Customer's sublicense is personal and
nonexclusive and may not be
transferred
without ___________ Corporation's express consent.
F. Record
Keeping
1. Customer shall keep
complete and accurate records (i) uniquely
identifying the Software and the licensed
Processors; and (ii) indicating
where the
Software is located. If requested by Company,
Customer shall
provide copies of the
applicable records to Company and if Company
reasonably believes that the Software has been
made available to any third
party or executed
(except as permitted by these Terms and
Conditions) on
any other processor or
equipment configuration during the term of
the
license, Customer shall provide an
explanation.
2. Customer agrees to
reproduce ____________ Corporation's copyright
and all other legal notices, including
but not limited to other
proprietary
notices and notices mandated by governmental
entities, on all
complete or partial copies,
adaptations, or transmissions of the Software.
G. License Limitation,
Reverse Engineering
Company transfers
no title to or ownership of any Software to
Customer
or any third party. Except as
explicitly set forth in these Terms and
Conditions, Customer shall not execute, use,
copy or modify the Software
or take any
action inconsistent with __________ Corporation's
intellectual
property rights in the
Software. Customer shall not decompile or
reverse
assemble the Software, or analyze or
otherwise examine it for reverse
engineering the Software or for reverse
engineering any hardware or
firmware
implementation of the Software.
II. License Termination
A. Company

licenses
granted and any Software orders
placed hereunder if Customer neglects or
fails to perform or observe any of its
obligations to ______ Corporation

第十三条 贷款
总投资和注册资本之间的差额向银行贷款。可首先考虑向合资公司所在的国内银行或其
它渠道借贷。甲、乙方按在合资公司注册资本的比例各自负责贷款担保。
如果合资公司董事会认为,除了第十一条规定的双方投资额和上述贷款外,合资公司的
经营需要流动资金和其它资金,双方应按各自在合资公司注册资本的比例为上述借款作担保

如果不能按上述方式获得借款,董事会将按合同双方各自在合资公司中的资本比例向合
同双方另外征集资金。除非合同双方另以书面形式明确表示同意,任何一方都没有义务再增
加注册资本成为第三方借贷给合资公司的款项作担保。但是,如果合资公司的经营、利润状
况良好,合同双方原则上同意再适当增加注册资本,即按经营发展状况和稳妥的股本筹措原
则使用积累的储备基金。
第十四条 资本转让
除非得到另一方的同意并经审批机关批准,合同任何一方都不得将其认缴的资本股份全
部或部份转让给第三方。
如果一方将其认缴的资本股份全部或部分转让给第三方,则另一方具有优先受让的权利
,受让的条件不得苛刻于转让给第三方的条件。另一方特此表示,如果自己不行使优先受让
权,即为同意上述转让。
第十五条 抵押和担保
未经董事会一致同意,任何一方都不得将其认缴的资本股份全部或部分用作抵押,也不
得用作担保。
第六章 合资双方的责任
第十六条 甲、乙方应各自负责完成以下各项事宜:

——办理为设立合资公司向中国有关主管部门申请批准、登记注册、领取营业执照等事

——协助办理乙方作为出资而提供的机械设备的进口报关手续和在中国境内的运输;
——协助合资公司联系落实水、电、交通等基础设施;

——协助合资公司招聘中方管理人员、技术人员、工人和所需的其他人员;
——协助外籍工作人员办理所需的入境签证、工作许可证和旅行手续等;
——负责办理合资公司委托的其它事宜。
16.2 乙方责任:
——按第五章规定出资并协助安排资金筹措;
——办理合资公司委托在中国境外选购机械设备、材料等有关事宜;
——提供需要的设备安装、调试以及试生产技术人员、生产和检验技术人员;
——培训合资公司的技术人员和工人;
——如乙方同时又是技术转让方,则应负责合资公司在规定期限内按设计能力稳定地生
产合格产品;
——负责办理合资公司委托的其它事宜。
第七章 技 术 转 让
第十七条 许可与技术引进协议
合资公司和__公司的“许可与技术引进协议”应与本合同同时草签。
第八章 商标的使用及产品的销售

第十二章 劳 动 管 理
第三十三条
合资公司职工的招聘、处罚、辞退、合同期限、工资、劳动保险、生活福
利等事宜,按照《中华人民共和国劳动法》和《中华人民共和国中外合资经营企业劳动管理
规定》及其实施办法,经董事会研究制定方案,由合资公司和合资公司工会组织集体或个别
地订立劳动合同。劳动合同订立后,报当地劳动管理部门备案。
第三十四条
外籍职工有关的劳动事务详细规定见附件。
第十三章 工 会
第三十五条 工会的任务为:(略)

第十四章 税务、财务和审计

第四十二条 合资公司的财务帐册应每年一次由一个在中国注册的会计事务所进行审
计

第四十三条 每一营业年度的头三个月,由总经理组织编制上一年度的资产负债表,损

第十五章 保 险
第四十四条
合资公司在经营期内为保护公司不因各类灾害而受损失,应向中国人民保
险公司投保。保险的险别,投保的价值和期限等应由董事会作出决定。发生的保险费由合资
公司承担。
第十六章
合资公司的期限及正常终止
第四十五条

经一方提议,董事会会议一致通过,可以在合资期满6个月前向原审批机构申请延长合
资期限。

第十七章
合同的修改、变更和终止
第四十七条
对合同及其附件所作的任何修改,须经合同双方在书面协议上签字并经原

第四十八条 由于不可抗力,致使合同无法履行,或是由于合资公司连年亏损,无力继
续经营,经董事会一致通过,并报原审批机构批准,可以提前终止合同。
第四十九条
由于一方不履行合同、章程规定的义务,或严重违反合同、章程的规定,
造成合资公司无法经营或无法达到合同规定的经营目的,视作违约方片面终止合同,对方除
有权向违约方索赔外,并有权按合同规定报原审批机构批准终止合同。
第十八章 违 约 责 任
第五十条
如果任何一方未及时缴纳第十二条规定的注册资本金额,则每拖欠一个月该
方即应支付相当于出资额_____%的违约赔偿金。如逾期3个月仍未提交,除累计支付
出资额的_____%作为违约金外,守约一方有权按本合同第四十九条规定终止合同,并
要求违约方赔偿损失。
第五十一条
由于一方违约,造成本合同及其附件不能履行或不能完全履行时,由违约
方承担违约责任;如属双方违约,根据实际情况,由双方分别承担各自应负的违约责任。
第十九章 不 可 抗 力
第五十二条
由于地震、台风、水灾、火灾、战争以及其它不能预见且对其发生和后果
不能防止或避免的不可抗力,致使直接影响合同的履行或者不能按约定的条件履行时,遇有
上述不可抗力的一方,应立即电报通知对方,并应在15天内,提供不可抗力详情及合同不
能履行,或者部分不能履行,或者需要延期履行的理由的有效证明文件,此项证明文件应由
不可抗力发生地区的公证机构出具。按其对履行合同影响的程度,由双方协商决定是否解除
合同,或者部分免除履行合同的责任,或者延期履行合同。
第二十章 适 用 法 律
第五十三条
本合同的订立、效力、解释、履行受中华人民共和国法律的管辖。在某一
具体问题上如果没有业已颁布的中国法律可适用,则可参考国际惯例办理。
第二十一章 争议的解决
第五十四条
凡因执行本合同所发生的或与本合同有关的一切争议,双方应通过友好协
商解决,如果协商不能解决,
应提交北京中国国际贸易促进委员会对外经济贸易仲裁委员会根据该会的仲裁程序暂
行
规则进行仲裁。

applying for entry visas, work

handling their travel procedures;

Providing
cash, machinery and equipment, industrial

Chapter 7 Transfer of Technology

Article 16
Party B offers the
following guarantees on the transfer of
technology:

only when Party B is responsible for
transferring technology to the joint venture
company).
1. Party B guarantees that
the overall technology such as the
designing, manufacturing technology,
technological process, tests and
inspection
of products (Note: The name of the products shall
be written)
provided to the joint venture
company must be integrated, precise and
reliable. It is to meet the requirement of the
joint venture's operation
purpose, and be
able to obtain the standard of production
quality and
production capacity specified in
the contract;
2. Party B guarantees that
the technology specified in this contract
and the technology transfer agreement shall be
fully transferred to the
joint venture
company, and pledges that the provided technology
should be
truly advanced among the same type
of technology produced by Party B, the
model,
specification and quality of the equipment are
excellent and it is
to meet the requirement
of technological operation and practical usage;
3. Party B shall work out a detailed list
of the provided technology
and technological
service at various stages as specified in the
technology
transfer agreement to be an
appendix to the contract, and guarantee its
performance;
4. The drawings,
technological conditions and other detailed
information are part of the transferred
technology and shall be provided
on time;
5. During the term of the technology
transfer agreement, Party B shall
provide the
joint venture company with any improvements in the
technology
and the improved information and
technological materials in time, and
shall
not charge separate fees;
6. Party B shall
guarantee that the technical personnel and
the
workers in the joint venture company
can master all the technology
transferred
within the period specified in the
technology transfer
agreement.
Article 17
In case Party B
fails to provide equipment and technology in
accordance with the provisions of this
contract and the technology
transfer
agreement or in case any deceiving or
concealing actions are
found, Party B shall
be responsible for compensating the direct losses
to
the joint venture company.
Article 18
The technology transfer fee shall be paid
in royalties. The royalty
rate shall be
___________% of the net sales value of the
products.
The term for royalty payment
is the same as the term for the
technology transfer agreement specified in
Article 19 of this contract.
Article 19
The term for the technology transfer
agreement signed by the joint
venture
company and Party B is ___________ years. After
the expiration of
the technology transfer
agreement, the joint venture company shall have
the right to use, research and develop
the imported technology
continuously.

Chapter 8
Selling of Products
Article 20
The products of joint venture company will be sold
both on the Chinese
and the overseas market,

out according to practical situations, in normal
conditions, the amount for export shall at
least meet the needs of foreign
exchange

Article 21

for
maintenance service both in China or
abroad subject to the approval of the
relevant
Chinese department.

trade mark of the joint venture's products is

Chapter 9 The Board of Directors
Article
25
The date of registration of the joint
venture company shall be the
date of the
establishment of the board of directors of the
joint venture
company.
Article 26
The board of directors is composed of

___________shall be appointed by Party A,
_________by Party B. The
chairman of the
board shall be appointed by Party A, and its vice-
chairman
by Party B. The term of office
for the directors, chairman and
vice-
chairman is four years, their term of office
may be renewed if

Article 27
The
highest authority of the joint venture company
shall be its board
of directors. It shall
decide all major issues (Note: The main
contents
shall be listed in the light of
Article 36 of the Implementing Regulations
for
the Joint Venture Law) concerning the joint
venture company. Unanimous
approval shall be
required for any decisions concerning major
issues. As
for other matters, approval by
majority or a simple majority shall be
required.

Article
28
The chairman of the board is the legal
representative of the joint
venture
company. Should the chairman be unable to
exercise his
responsibilities for any
reason, he shall authorize the vice- chairman or
any other directors to represent the joint
venture company temporarily.
Article 29
The board of directors shall convene at least one
meeting every year.
The meeting shall be
called and presided over by the chairman of
the
board. The chairman may convene an interim
meeting based on a proposal
made by more
than one third of the total number of directors.
Minutes of
the meetings shall be placed on
file.
Chapter
10 Business Management Office
Article 30
The joint venture company shall establish
a management office which
shall be
responsible for its daily management. The
management office shall
have a general
manager, appointed by Party _______, _______
deputy general
managers, _______by Party
______; _______by Party ________. The general
manager and deputy general managers whose
terms of office is ________
years shall be
appointed by the board of directors.
Article 31
The responsibility of the
general manager is to carry out the
decisions of the board and organize and
conduct the daily management of
the joint
venture company. The deputy general managers
shall assist the
general manager in his
work.
Several department managers may be
appointed by the management office,
they
shall be responsible for the work in
various departments
respectively, handle the
matters handed over by the general manager and
deputy general managers and shall be
responsible to them.
Article 32
In
case of graft or serious dereliction of duty on
the part of the
general manager and deputy
general managers, the board of directors shall
have the power to dismiss them at any time.
Chapter 11
Purchase of Equipment
Article 33
In its purchase of required raw materials,
fuel, parts, means of
transportation and
articles for office use, etc., the joint
venture
company shall give first priority to
purchase in China where conditions
are the
same.
Article 34
In case the joint
venture company entrusts Party B to purchase
equipment on the overseas market, persons
appointed by the Party A shall
be invited to
take part in the purchasing.
Chapter 12 Preparation and Construction
Article 35
During the period of
preparation and construction, a preparation and
construction office shall be set up under the
board of directors. The
preparation and
construction office shall consist of _________
persons,
among which ________ persons will be
from Party A, _______ persons from
Party B. The preparation and
construction office shall have one manager
recommended by Party _________, and one deputy
manager by Party ________.
The manager and
deputy manager shall be appointed by the
board of

Article 36
The preparation and construction office is
responsible for the
following concrete
works: examining the designs of the project,
signing
the project construction contract,
organizing the purchase and inspection
of
related equipment, materials, etc., working out
the general schedule of
project construction,
compiling the expenditure plans, controlling
project
financial payments and final
accounts of the project, drawing up
managerial methods and keeping and filing
documents, drawings, files and
materials,
etc., during the construction period of the
project.
Article 37
A technical group
with several technical personnel appointed by
Party
A and Party B shall be organized. The
group, under the leadership of the
preparation and construction office, is in
charge of the examination,
supervision,
inspection, testing, checking and accepting, and
performance
checking of the project design,
the quality of the project, the equipment
and
materials and the imported technology.
Article
38
After approval by both parties, the
establishment, remuneration and
the expenses
of the staff of the preparation and construction
office shall
be covered in the project budget.
Article 39
After having completed the
project and finished the turning over
procedures, the preparation and construction
office shall be dissolved
upon the approval
of the board of directors.
Chapter 13 Labor Management
Article 40
Labor contract covering the recruitment,
employment, dismissal and
resignation,
wages, labor insurance, welfare, rewards,
penalties and other
matters concerning the
staff and workers of the joint venture
company
shall be drawn up between the joint
venture company and the trade union of
the
joint venture company as a whole, or the
individual employees in the
joint venture
company as a whole or individual employees in
accordance
with the Regulations of the
People's Republic of China on Labor Management
in Joint Ventures Using Chinese and
Foreign Investment and its
Implementing
Rules.
The labor contracts shall, after
being signed, be filed with the local
labor
management department.
Article 41
The appointment of high-ranking administrative
personnel recommended
by both parties,
their salaries, social insurance, welfare and
the
standard of travelling expenses etc. shall
be decided by the meeting of
the board of
directors.
Chapter
14 Taxes, Finance and Audit
Article 42
The joint venture company shall pay
taxes in accordance with the
provisions of
Chinese laws and other relative regulations.
Article 43
Staff members and workers
of the joint venture company shall pay
individual income tax according to the
Individual Income Tax Law of the
People's
Republic of China.
Article 44
Allocations for reserve funds, expansion funds of
the joint venture
company and welfare funds
and bonuses for staff and workers shall be set
aside in accordance with the provisions of
the Joint Venture Law. The
annual
proportion of allocations shall be decided
by the board of
directors according to
the business situation of the joint venture
company.
Article 45
The fiscal
year of the joint venture company shall be from
January 1
to December 31. All vouchers,
receipts, statistic statements and reports
shall be written in Chinese.
(Note: A
foreign language can be used concurrently
with mutual
consent).
Article 46
Financial checking and examination of the joint
venture company shall
be conducted by an
auditor registered in China and reports
shall be
submitted to the board of directors
and the general manager.
In case Party B
considers it necessary to employ a foreign
auditor
registered in another country to
undertake annual financial checking and
examination, Party A shall give its consent.
All the expenses thereof
shall be borne by
Party B.
Article 47
In the first three
months of each fiscal year, the manager
shall
prepare the previous year's balance
sheet, profit and loss statement and
proposal regarding the disposal of profits,
and submit them to the board
of directors
for examination and approval.
Chapter 15 Duration of the Joint Venture
Article 48
The duration of the
joint venture company is ___________ years. The
establishment date of the joint venture
company shall be the date on which
the
business license of the joint venture company is
issued.
An application for the extension
of the duration, proposed by one
party
and unanimously approved by the board of
directors, shall be
submitted to the
Ministry of Foreign Trade and Economic
Cooperation (or

authority entrusted by it) six months prior
to the expiry date of the joint venture.
Chapter 16 The Disposal of Assets after
the Expiration of the Duration
Article

Upon the expiration of the duration, or
termination before the date of
expiration of
the joint venture, liquidation shall be
carried out
according to the relevant laws.
The liquidated assets shall be distributed
in
accordance with the proportion of investment
contributed by Party A and
Party B.
Chapter 17 Insurance
Article 50
Insurance policies of the joint venture company on
various kinds of
risks shall be underwritten
with the People's Republic of China. Types,
value and duration of insurance shall be
decided by the board of directors
in
accordance with the provisions of the People's
Insurance Company of
China.
Chapter 18 The Amendment, Alteration and
Termination of the Con- tract
Article 51
The amendment of the contract or other
appendices shall come into
force only after
a written agreement has been signed by Party A and
Party
B and approved by the original
examination and approval authority.
Article 52
In case of inability to fulfil the
contract or to continue operation
due to
heavy losses in successive years as a result of
force majeure, the
duration of the joint
venture and the contract shall be terminated
before
the time of expiration after being
unanimously agreed upon by the board of
directors and approved by the original
examination and approval authority.
Article 53
Should the joint venture company be unable
to continue its operation
or achieve its
business purpose due to the fact that one
of the
contracting parties fails to fulfil
the obligations prescribed by the
contract and articles of association,
or seriously violates the provisions
of the
contract and articles of association, that party
shall be deemed to
have unilaterally
terminated the contract. The other party shall
have the
right to terminate the contract in
accordance with the provisions of the
contract after approval by the original
examination and approval
authority, and to
claim damages. In case Party A and Party B of the
joint
venture company agree to continue the
operation, the party who fails to
fulfil
its obligations shall be liable for the
economic losses caused
thereby to the joint
venture company.
Chapter 19 Liability for Breach of Contract
Article 54
should either Party A or
Party B fail to pay on schedule the
contributions in accordance with the
provisions defined in Chapter 5 of
this
contract, the party in breach shall pay to the
other party _________%
of the contribution
starting from the first month after exceeding the
time
limit. Should the party in breach fail to
pay after 3 months, __________%
of the
contribution shall be paid to the other party, who
shall have the
right to terminate the
contract and to claim damages from the party
in
breach in accordance with the provisions of
Article 53 of the contract.
Article 55
Should all or part of the contract and its
appendices be unable to be
fulfilled owing to
the fault of one party, the party in breach shall
bear
the liability therefor. Should it be the
fault of both parties, they shall
bear their
respective liabilities according to the
actual situation.
Article 56
In order
to guarantee the performance of the contract
and its
appendices, both Party A and Party B
shall provide each other with bank
guarantees for performance of the contract.
Chapter 20
Force Majeure
Article 57
Should
either of the parties to the contract be
prevented from
executing the contract by
force majeure, such as earthquake, typhoon,
flood, fire, war or other unforeseen events,
and their occurrence and
consequences are
unpreventable and unavoidable, the prevented party
shall
notify the other party by telegram
without any delay, and within 15 days
thereafter provide detailed information of the
events and a valid document
for evidence
issued by the relevant public notary organization
explaining
the reason of its inability to
execute or delay the execution of all or
part of the contract. Both parties shall,
through consultations, decide
whether to
terminate the contract or to exempt part of the
obligations for
implementation of the
contract or whether to delay the execution of
the
contract according to the effects of the
events on the performance of the
contract.
Chapter 21
Applicable Law
Article 58
The
formation, validity, interpretation, execution and
settlement of
disputes in respect of, this
contract shall be governed by the relevant
laws of the People's Republic of China.
Chapter 22 Settlement
of Disputes
Article 59
Any
disputes arising from the execution of, or in
connection with, the
contract shall be settled
through friendly consultations between both
parties. In case no settlement can be reached
through consultations, the
disputes shall be
submitted to the Foreign Economic and Trade
Arbitration
Commission of the China Council
for the Promotion of International Trade
for
arbitration in accordance with its rules of
procedure. The arbitral
award is final and
binding upon both parties.
Or
Any
disputes arising from the execution of, or in
connection with the
contract shall be settled
through friendly consultations between both
parties. In case no settlement can be reached
through consultations, the
disputes shall
be submitted to __________Arbitration

notices in connection with any party's rights and

B by telegram or telex, etc., the

第六章 合作各方应负责完成的事项
第十四条 甲方应负责完成的事项:
(一)办理为设立合作公司向中国有关主管部门申请批准、登记注册、领取营业执照等
事宜;
(二)依照本合同第十一条第一款规定,向土地主管部门办理申请取得土地使用权的手
续;
(三)协助办理乙方作为出资而提供的机械设备、物资的进口报关手续和在中国境内的
运输;
(四)协助合作公司在中国境内购置或租赁设备、材料、原料、办公用品、交通工具、
通讯设备等;
(五)协助合作公司落实水、电、交通等基础设施;
(六)协助合作公司对厂房和其他工程设施的设计和施工;
(七)协助合作公司在当地招聘中国的经营管理人员、技术人员、工人和其他人员;
(八)协助合作公司为外籍工作人员办理所需的入境签证手续等;
(九)办理合作公司委托的其他事宜。
第十五条 乙方应负责完成的事项:
(一)依照本合同第十一条第二款、第十三条的规定,提供现金、机器设备、工业产权
……并负责将其作为出资的机械设备等运至中国港口;
(二)办理合作公司委托在中国境外选购的机器设备、材料等有关事宜;
(三)提供需要的设备安装、调试以及试产的技术人员、生产和检验技术人员;
(四)培训公司的技术人员和工人;
(五)如乙方同时是技术转让方,则应负责合作公司在规定的期限内按设计能力稳定地
生产合格产品;
(六)负责办理合作公司委托的其他事宜。

第七章 合作经营期限
第十六条
合作公司的经营期限为________年,公司营业执照签发之日,为该
合作公司的成立日期。
合作公司在经营过程中,如有一方提出,经双方协商同意,可以延长合作期限。但必须
在合作期满六个月前,向中华人民共和国对外经济贸易部(或其委托的审批机构)提出申请

第八章
利润分配和偿还乙方投资
第十七条
合作公司缴纳所得税后的利润,按下列顺序使用和分配:
(一)提取______%作为合作公司的储备基金、职工奖励及福利基金、发展基金

产品的销售

第十章 董 事 会
第十九条
合作公司设董事会。公司注册登记之日,为董事会正式成立之日。
第二十条
董事会是合作公司的最高权力机构,决定合作公司章程的制订和修改;决定
公司转让、合并、停业和解散;决定公司经营决策、财务预算和决算;决定公司利润分配和
亏损弥补办法;聘请总经理、副总经理和高级管理人员;决定公司职工工资和制定职工奖惩
办法等一切重大事宜。
第二十一条
董事会由董事________名组成,其中甲方委派________

董事长、副董事长和董事任期四年,经各方继续委派可以连任。
第二十二条 董事会会议每年至少召开一次,由董事长召集并主持。董事长因故不能召

长可召开董事会临时会议。会议记录应归档保存。
第二十三条
召开董事会须有三分之二以上的董事出席方有效。董事不能出席时,可以
出具委托书委托他人代为出席和举行表决。
第二十四条
董事长是合作公司的法定代表。董事长因故不能履行其职责时,可临时授
权副董事长或其他董事代理。
第十一章 经营管理机构
第二十五条 合作公司设经理部,负责公司的日常经营管理。
经理部设总经理一人,副总经理__人。总经理由__方推荐;副总经理由__方推荐
__人,另一方推荐__人,均由董事会聘请,任期__年。
第二十六条
总经理的职责是执行董事会会议的决议,组织领导合作公司的日常经营管
理工作。副总经理协助总经理工作。
第二十七条
总经理必须每季度向董事会报告公司的经营情况,半年向董事会作一次财
务结算报告。
第二十八条 总经理、副总经理及其他管理人员有营私舞弊或严重失职行为时,经董事
会会议作出决议,给予应得的处分直至解聘,对公司造成的经济损失,应负赔偿责任。
第十二章 劳 动 管 理
第二十九条
合作公司员工的招聘、解雇或辞职一律实行合同制。员工的聘请由公司做
出计划,报当地劳动部门核准后,由公司自行招聘,经考核择优录用。
第三十条
合作公司员工的劳动工资、劳动保险、生活福利和奖惩等事项,依照《中华
人民共和国中外合作经营企业法》的有关规定,经董事会制订施行方案,由公司、公司工会
与员工集体或个人订立劳动合同,按合同的规定执行。
第十三章 财务会计和审计
第三十一条
合作公司设总会计师和总出纳员各一人,负责公司总的会计工作;厂部、
商场和维修服务部分别建立帐目,每个部门分别设会计师和出纳员各一个,负责各个部门的
财务会计工作。
前款所列会计和出纳员的人选,均由甲、乙方协商推荐,董事会聘请。
第三十二条
合作公司的财务会计制度,根据有关规定,结合本合作公司的实际情况制
定。并报当地财政部门和税务部门备案。
第三十三条
合作公司设审计师一人,由甲方推荐,董事会聘请。
审计师负责审查、稽核公司的财务收支和会计帐目,并向董事会报告。
第十四章 纳税与保险
第三十四条
合作公司应按中华人民共和国有关税法缴纳各种税款。
第三十五条
合作公司的各项保险均应向中国的保险公司投保。投保办法、投保险别、
保险价值、保期等均按中国人民保险公司的规定由合作公司董事会决定。
第十五章 合同的修改、补充、变更与解除
第三十六条
本合同及其附件的修改或补充,必须经甲、乙方协商一致、签署书面协议
,并报经对外经济贸易部(或其委托的审批机构)批准方能生效。
第三十七条 在合同有效期内由于本合同第四十二条规定的不可抗力,造成公司严重损
失,或因公司连续亏损,致使合同不能继续履行,经合作公司董事会特别决议,并报原审批
机关批准,可以提前终止合同或解除合同。
第十六章 违 约 责 任
第三十八条
由于一方不履行合同、章程规定的义务,或严重违反合同、章程规定,造
成合作公司无法经营或无法达到合同规定的经营目的,视作违约方片面终止合同,对方除有
权向违约的一方索赔外,并有权按合同规定报原审批机关批准终止合同。如甲、乙方同意继
续经营,违约方仍应赔偿履约一方的经济损失。
第三十九条
甲、乙任何一方如未按本合同第十一条、第十二条以及第十三条的规定提
供合作条件时,以逾期的第一个月算起,每逾期一个月,违约方应缴付____元违约金给
守约的一方。(注:或按出资额的百分比计算)如逾期__个月仍未提供,除累计缴付违约
金外,守约一方有权按照本合同第三十八条规定终止合同,并要求违约方赔偿损失。
第四十条 由于一方的过失,造成本合同及其附件不能履行或不能完全履行时,由过失
的一方承担违约责任;如属双方的过失,根据实际情况,由双方分别承担各自应负的违约责
任。
第四十一条
为保证本合同及其附件的履行,甲、乙方在合同生效后__天内相互提供
履约的银行担保书。
第十七章 不 可 抗
力
第四十二条
在合作期间,由于地震、台风、水灾、火灾、战争或其他不能预见并且对
其发生和后果不能防止和避免的不可抗力事故,致使直接影响合同的履行或者不能按约定的
条件履行时,遇有上述不可抗力事故的一方,应立即将事故情况电报通知对方,并应在十五
天内提供事故的详细情况及合同不能履行,或者部分不能履行,或者需要延期履行的理由的
有效证明文件。此项证明文件应由事故发生地区的公证机构出具。按照事故对履行合同影响
的程度,由双方协商决定是否解除合同,或者部分免除履行合同的责任,或者延期履行合同
。
第十八章 争议的解决
第四十三条
凡因执行本合同所发生的或与本合同有关的一切争议,双方应首先通过友
好协商解决,如果协商不能解决,应提请中国国际贸易促进委员会对外经济贸易仲裁委员会
仲裁。仲裁的裁决是终局的,对双方都有约束力。
第四十四条
本合同的订立、效力、解释、履行和争议的解决均受中华人民共和国法律
的保护和管辖。
第十九章 文 字
第四十五条
本合同用中文和__文写成,两种文字具有同等效力。上述两种文本如解
释有矛盾,以中文本为准。
第二十章 合同生效及其他
第四十六条
按照本合同规定的各项原则所订立的合作公司章程、工程协议、技术转让
协议、销售协议等,均为本合同的附属文件。
第四十七条
本合同及其附属文件,均须经中国对外经济贸易部(或其委托的审批机关
)批准,并自批准之日起生效。
第四十八条
合作公司对甲、乙双方或甲、乙双方互送通知的方法,如果采用电报或电
传时,凡涉及各方权利、义务的,应随之发出书面信件通知。合同中所列的甲、乙双方的法
定地址,即为甲、乙方的收件地址。
第四十九条

Assisting the cooperative venture
company in contacting and settling
the
fundamental facilities such as water, electricity,
transportation
etc.;
Assisting the
cooperative venture in recruiting Chinese
management
personnel, technical personnel,
workers and other personnel needed;
Assisting foreign workers and staff in applying
for entry visas, work
licenses and handling
their travel procedures;
Responsible for
handling other matters entrusted by the
cooperative
venture company.
Responsibilities of Party B:
Providing
cash, machinery and equipment, industrial
property... in
accordance with the provisions
of Article 11 and Article 12, 13, and
responsible for shipping capital goods such as
machinery and equipment
etc. contributed as
investment to a Chinese port;
Handling the
matters entrusted by the cooperative venture
company,
such as selecting and purchasing
machinery and equipment outside China,

Providing necessary technical personnel
for installing, testing and
trial
production of the equipment as well as the
technical personnel for
production and
inspecting;
Training the technical
personnel and workers of the cooperative
venture company;

the licensor, it shall be responsible for

stable production of qualified products of

in the light
of design capacity within the specified period;
Responsible for other matters entrusted by

Chapter 7 Distribution of
Profits and Repayment for Party B's Investment

Chapter 9 The Board of Directors
Article
20
The date of registration of the

date of the establishment of the board of
directors of the cooperative
venture company.
Article 21
The board of directors is

Article
23
The chairman of the board is the
legal representative of the
cooperative
venture company. Should the chairman be unable to
exercise his
responsibilities for any reason,
he shall authorize the vice-chairman or
any
other directors to represent the joint venture
company temporarily.
Article 24
The
board of directors shall convene at least one
meeting every year.
The meeting shall be
called and presided over by the chairman of
the
board. The chairman may convene an interim
meeting based on a proposal
made by more
than one third of the total number of directors.
Minutes of
the meetings shall be placed on
file.
Article 25
The meeting shall be
valid only when more than two thirds of the total
number of directors attend. In case of
absence, the director shall entrust
another
person to attend and vote for him with a trust
deed.
Chapter 10
Business Management Office
Article 26
The cooperative venture company shall
establish a management office
which shall
be responsible for its daily management. The
management office
shall have a general
manager, appointed by Party _____,

manager and deputy general managers

shall

Article 27
The responsibility of the
general manager is to carry out the
decisions of the board and organize and

Article 28
The general
manager shall report to the board of
directors the
operation conditions of the
cooperative company every three months, and
make a financial report every six months.
Article 29
In case of graft or serious
dereliction of duty on the part of the
general manager and deputy general managers,
the board of directors shall
have the power
to dismiss them at any time.
Chapter 11 Labor Management
Article 30
Labor contract covering the recruitment,
employment, dismissal and
resignation,
wages, labor insurance, welfare, rewards,
penalties and other
matters concerning the
staff and workers of the cooperative venture
company shall be drawn up between the
cooperative venture company and the
trade
union of the cooperative venture company as
a whole, or the
individual employees in the
cooperative venture company as a whole or
individual employees in accordance with the
law of the People's Republic
of China on
Chinese-Foreign Cooperative Joint Ventures.
The labor contracts shall, after being signed, be
filed with the local
labor management
department.
Article 31
The appointment
of high-ranking administrative personnel
recommended
by both parties, their
salaries, social insurance, welfare and the
standard of travelling expenses etc. shall be
decided by the meeting of
the board of
directors.
Chapter
12 Taxes, Finance and Audit
Article 32
The cooperative venture company shall pay
taxes in accordance with the
provisions of
Chinese laws and other relative regulations.
Article 33
Staff members and workers
of the cooperative venture company shall pay
individual income tax according to the
Individual Income Tax Law of the
People's
Republic of China.
Article 34
The fiscal year of the joint venture company shall
be from January 1
to December 31. All
vouchers, receipts, statistic statements and
reports
shall be written in Chinese.
(Note: A foreign language can be used
concurrently with mutual
consent).
Article 35
Financial checking and
examination of the cooperative venture company
shall be conducted by an auditor registered in
China and reports shall be
submitted to the
board of directors and the general manager.
In case Party B considers it necessary to employ
a foreign auditor
registered in another
country to undertake annual financial checking
and
examination, Party A shall give its
consent. All the expenses thereof
shall be
borne by Party B.
Article 36
In the
first three months of each fiscal year, the
manager shall
prepare the previous year's
balance sheet, profit and loss statement and
proposal regarding the disposal of profits,
and submit them to the board
of directors
for examination and approval.
Chapter 13 Duration of the Cooperative Venture
Article 37
The duration of the
cooperative venture company is______ years. The
establishment date of the joint venture
company shall be the date on which
the
business license of the cooperative venture
company is issued.
An application for the
extension of the duration, proposed by one
party and unanimously approved by the
board of directors, shall be
submitted to
the Ministry of Foreign Trade and Economic
Cooperation (or

authority entrusted by it) six months prior
to the expiry date of the joint venture.
Chapter 14 The Disposal of Assets after
the Expiration of the Duration

Upon the expiration of the duration,
the assets shall belong to Party
A.
Chapter 15 Insurance
Article 39
Insurance policies of the joint venture company on
various kinds of
risks shall be underwritten
with the People's Republic of China. Types,
value and duration of insurance shall be
decided by the board of directors
in
accordance with the provisions of the People's
Insurance Company of
China.
Chapter 16 The Amendment, Alteration and
Termination of the Con- tract
Article 40
The amendment of the contract or other
appendices shall come into
force only after
a written agreement has been signed by Party A and
Party
B and approved by the original
examination and approval authority.
Article 41
In case of inability to fulfil the
contract or to continue operation
due to
heavy losses in successive years as a result of
force majeure, the
duration of the
cooperative venture and the contract shall be
terminated
before the time of expiration after
being unanimously agreed upon by the
board
of directors and approved by the original
examination and approval
authority.
Chapter 17 Liability for
Breach of Contract
Article 42
Should the cooperative venture company be
unable to continue its
operation or achieve
its business purpose due to the fact that one of
the
contracting parties fails to fulfil the
obligations prescribed by the
contract and
articles of association, or seriously violates the
provisions
of the contract and articles of
association, that party shall be deemed to
have unilaterally terminated the contract. The
other party shall have the
right to terminate
the contract in accordance with the provisions of
the
contract after approval by the
original examination and approval
authority, and to claim damages. In case
Party A and Party B of the
cooperative
venture company agree to continue the operation,
the party who
fails to fulfil its obligations
shall be liable for the economic losses
caused thereby to the joint venture company.
Article 43
Should either Party A or
Party B fail to provide on schedule the
contributions in accordance with the
provisions defined in Chapter 5 of
this
contract, the party in breach shall pay to
the other party
________Yuan, or __________%
of the contribution starting from the first
month after exceeding the time limit. Should
the party in breach fail to
provide after
______months, _________Yuan, or _________%
of
contribution shall be paid to the other
party, who shall have the right to
terminate
the contract and to claim damages from the party
in breach in
accordance with the provisions
of Article 42 of the contract.
Article 44
Should all or part of the contract and its
appendices be unable to be
the
fulfilled owing to the fault of one
party, the party in breach shall bear
the
liability therefor. Should it be the fault of both
parties, they shall
bear their respective
liabilities according to the actual
situation.
Article 45
In order to
guarantee the performance of the contract
and its
appendices, both Party A and Party B
shall provide each other with bank
guarantees for performance of the contract
within __________days after the
contract comes
into force.
Chapter 18 Force Majeure
Article 46
Should either of the parties to the contract
be prevented from
executing the contract by
force majeure, such as earthquake, typhoon,
flood, fire, war or other unforeseen events,
and their occurrence and
consequences are
unpreventable and unavoidable, the prevented party
shall
notify the other party by telegram
without any delay, and within 15 days
thereafter provide detailed information of the
events and a valid document
for evidence
issued by the relevant public notary organization
explaining
the reason of its inability to
execute or delay the execution of all or
part of the contract. Both parties shall,
through consultations, decide
whether to
terminate the contract or to exempt part of the
obligations for
implementation of the contract
or whether to delay the execution of the
contract according to the effects of the
events on the performance of the
contract.
Chapter 19
Applicable Law
Article 47
The
formation, validity, interpretation, execution and
settlement of
disputes in respect of, this
contract shall be governed by the relevant
laws of the People's Republic of China.
Chapter 20 Settlement
of Disputes
Article 48
Any
disputes arising from the execution of, or in
connection with, the
contract shall be settled
through friendly consultations between both
parties. In case no settlement can be reached
through consultations, the
disputes shall be
submitted to the Foreign Economic and Trade
Arbitration
Commission of the China Council
for the Promotion of International Trade
for
arbitration in accordance with its rules of
procedure. The arbitral
award is final and
binding upon both parties.
Article 49
During the arbitration, the
contract shall be observed and enforced by
both parties except for the matters in
dispute.
Chapter 21 Language
Article 50
The contract shall be written in Chinese and in

language versions are
equally authentic. In the event of any
discrepancy
between the two aforementioned
versions, the Chinese version shall
prevail.
Chapter 22
Effectiveness of the Contract and Miscellaneous

The appendices drawn

Article 52
The
contract and its appendices shall come into force
commencing from
the date of approval of the

China (or its entrusted
examination and
approval authority).

Should
notices in connection with any party's rights and
obligations
be sent by either Party A or Party
B by telegram or telex, etc., the
Written letter notices shall be also

(一)中华人民共和国向世界银行(以下简称IFI)申请一笔贷款,用以支付___

条件,IFI才会同意付款。除中国外,任何组织不能从贷款协议中获得权利或取得贷款。
(二)世行贷款只用于支付瑞士和与中国有商贸关系世行成员国生产的产品和提供的服
务。
(三)世行贷款不足的部分将由业主用中国政府提供的资金支付。
三、资格要求
(一)所有根据世行的“采购指导原则”具有资格的国家均可投标。
(二)本合同项下的一切货物、服务均应来自上述具有资格的国家。本合同项下的一切
开支仅限于支付这样的货物和服务。
(三)货物、服务来源地与投标者国籍含义不同。
(四)为说明自己有资格中标,投标者应向业主提供(一)所规定的证明,保证有效地
执行合同。为此,业主和中国A公司在公布中标者前,可要求投标者更新其先前提供的资格
证明材料。投标者提供的材料应包括:
(1)法律地位证明文件复本,注册地及主要经营场所。如果是合资公司,应提供合资
者的材料。
(2)提供主要合同执行人的资格、经历证明材料。
(3)填写执行合同计划所需设备。
(4)填写可能的分包人。
(5)目前进行中涉及投标者的诉讼的情况。
(6)建设构想细节。
(五)投标者可更新资格证明申请,在投标日亲手交出。
(六)由两家或两家以上公司组成的合资企业应满足以下条件:
(1)标书和投标成功后的协议书对所有合资人都有法律约束力。
(2)由所有合资人的授权签字人签署并提交一份委托书,提名合资人中的一个为主办
人。
(3)合资主办人被授权承担义务,代表任何一位或全体合资人接受指导。整个合同的

(七)国内投标者、中外合作、合资投标者申请取得7.5%的优惠时,应按二十九条
的要求提供证明合乎标准的材料。
四、投标费用
投标者承担准备和提交其标书所需的全部费用。无论投标情况怎样,业主和其代理人中
国A公司都不负担这些费用。
五、现场参观
(一)建议投标者去工程现场参观,以便获得足够的信息准备标书,撰写合同。现场参
观费用由投标者自己承担。
(二)业主或其代理人A公司将准备一份现场参观交通、食宿安排协议,在标前会议上
向投标者宣布。详细情况在第十六条有规定。
(三)业主或其代理人A公司将为投标者提供通行证,允许其到工程现场作安排。如果
业主或其代理人因发放这样的通行证,造成投标者或其代理人、人员遭受人身侵害(致命或
不致命)伤害,财产遗失或其他损害、开支时,业主或代理人不负责。
投标文件
六、投标文件内容
(一)向投标者发售的一套投标文件可花费_____美元(元)获得,包括以下几部
分:
卷一 投标者须知
合同条款: 一般条款 特定条款
卷二
技术规范(包括图纸清单)
卷三 投标表格和附件;投标保证书;工程量表;附录。
卷四 图纸
(二)投标文件还包括按条款八在开标前发布的附件和按条款十六召开的标前会议的会
议纪要。
(三)具有资格的投标者还可购买更多的文件副本,付费不退还。(价格如下,略)
(四)项目承包人、生产者、供货人和其他人如欲得到投标文件,不要直接与中国A公
司联系,应从具有资格的投标者处获得。
(五)如果在规定的期限内,文件无损坏的被归还,无论是作为标书的一部分或其他情
况下,投标者的资格证明费可被返还:
(1)若提交标书,费用的_%返还;
(2)若未提交标书,在投标截止日前归还文件,费用的_%返还。
(六)希望投标者认真阅读投标文件包含的各项内容。投标者要承担因不遵守文件规定
导致的风险。不符合文件规定要求的标书将被拒绝。
(七)投标文件四卷装订在一起,投标者应仔细检查是否缺页,及附件是否完整。
七、投标文件解释
潜在的投标者可按以下地址书面或电传通知A公司要求解释文件:

业主或其代理人A公司在提交标书最后期限前28天书面答复解释文件的要求。书面答
复将向所有具有资格并已取得投标文件的投标者散发。
八、投标文件修正
(一)在提交标书最后期限前,业主可根据自己的意愿,或应回复潜在投标者的解释文
件的要求,发布附录修改投标文件。
(二)附录将用邮件、电传或电报送达每个持有投标文件的具有资格的投标者,这些文
件对他们是有约束力的。潜在的投标者应即时用电传或电报告知A公司附录已收到。
(三)为了使投标者在准备投标时有时间考虑附录文件,业主或其代理人A公司可按条
款十九的规定延长投标期限。
投标准备
九、标书文字
标书和投标者与业主及其代理人A公司之间的一切联络均使用英文。投标者标书中的一
些辅助文件或小册子可使用另外的语言,但与投标有关的段落要有英语译文。在标书翻译时
,以英文为准。
十、组成标书的文件
(一)投标者准备的标书应包括以下几部件:
(1)投标表格和附件
(2)投标保证书
(3)标价的工程量表
(4)补充信息目录表
(5)资格证明材料
(6)(如果有)可供选择的报价
(7)要求提供的其他材料
应一律使用本文件卷三中的表格,工程量表和目录表。(除了按同样格式延长目录表和
按条款十四(二)的规定使用可供选择的投标保证书格式)
(二)条款六(一)描述的投标文件和按条款八发出的附录均被视作标书的组成部分。
不需签字和按条款十七、十八规定提交的投标文件应在投标期限到期前归还发行者,但不要
与标书合在一处。
(三)投标者应随标书提交一份按合同条款第十四条要求的形式写就的初期计划。
(四)按合同规定可要求中标者讨论修改其计划。
十一、投标价格
(一)除非合同中另有明确规定,合同包括条款一所述全部工程,以投标者提供的项目
单价和总价为基础。
(二)无论工程量是否标明,投标者应对工程量表中的每项工程标明单价和总价。对单
价和总价未标明的项目,在建设中业主不予以支付,其价格视作已包括在工程量表中其他的
单价、总价中。
(三)在提交标书前28天承包人应付的关税、税收和其他税负应包括在单价和总价及
投标总价中。业主在对标书进行评估、比较时,也应如此考虑。
(四)根据合同条款,投标者提出的单价和总价可在执行合同过程中进行调整。投标者
应完成表三--价格调整条款--并按合同条款的要求与投书一起提供这样的配套文件。
十二、投标和支付货币
(一)投标者应以人民币对单价和总价报价。如果投标者以其他货币支付中国以外提供
的工程投入(称作“外币需求”),要在表一外币需求中写明投标价格的百分之几(不包括
临时款项)将用于这样的外币支出,无论(1)全部用投标者所在国货币或其任选货币;(
2)全部用美元。如果投标者在一部分外币需求中使用除(1)(2)以外的货币,且希望
业主以同种货币付款,则应写明其在投标价格中的百分比。这一比率在合同期内保持不变。
在合同条款换算和计算投标价格时,占不同比率的各种货币按下条规定的汇率进行换算。
(二)投标者用以兑换货币的汇率为提交标书最后日期前30天当天中国银行公布的官
方卖出价。如果某种货币的汇率未公布,投标者应提供汇率并说明其来源。投标准备中使用
的汇率适用于合同期的支付。
(三)投标者应在表一(A)外币与当地货币需求及附录中详细说明需要的外币和当地
货币数量。投标者应说明如何使用这些货币,用于但不限于下列方面:
外币
(1)工程直接雇用的外籍人员;
(2)外籍人员的社会收费、保险金和医疗费用及其往来中国的旅行费;
(3)工程需要进口的临时或永久性材料;
(4)工程所需设备的折旧,包括备件;
(5)进口设备、材料及备件的保险费和运费;
(6)一般管理费用,国外发生费用。
当地货币
(1)当地劳力;
(2)当地采购材料;
(3)其他服务;
(4)一般管理费用,国内发生费用。
(四)业主可以要求投标者说明其外币需求的情况,提供证明,证明其单位价格和表一
中所需部分是合理的。
(五)投标者应在表二写明预计合同支付款额,且在表中附上工程进行过程中预计的工
作量。
十三、标书效力
(一)从特定的投标结束期起6个月内投标书保持有效且可供接受。
(二)在特殊条件下,在原标书有效期结束前,业主或其代理人可要求投标者延长其标
书有效期。业主的要求和投标者的答复均应是书面的,或采用电传、电报形式。投标者可以
拒绝这样的要求,且不会因此失去其投标保函。答应这样要求的投标者不得改动其标书,但
被要求顺延其投标保函有效期。条款十四中有关投标保函的返还和失去的规定同样适用于延
长期。
十四、(一)投标者应随其标书提交一份人民币投标保函,金额不少于投标价格的2%
。
(二)投标保函根据投标者的意愿,可采用以下机构开立的担保支票、银行汇票、不可
撤销信用证或保函的形式:
(1)中国银行;
(2)中国银行的任何境外代理行;
(3)在中国经营的其他中国、外国银行;
(4)投标者在提交标书前即肯定A公司可接受的其他外国银行。
保函还可以是保险公司或同地的债券公司的付款保证书。银行保函和付款保证书必须采
用本文件包括的样本形式;其他形式须事先得到业主或其代理人A公司的同意。信用证、银
行保函和投标保函的有效期应比标书有效期长一个月。
(三)如果投标者同意按十三款的规定延长标书有效期,则应相应地把投标保函的有效
期延长到标书有效期结束后一个月。
(四)任何未附可接受的投标保函的标书都将被A公司拒绝。
(五)不成功的标书的投标保函将尽快返还,不得迟于标书有效期结束后三十天。
(六)成功的投标者的投标保函将在其开始进行工程和按要求提供履约保函后返还。
(七)投标保函在下列情况将失去:
(1)投标者在标书有效期内撤标;或
(2)成功的投标者未签约或未提供必要的履约保函。
十五、供选择的方案
(一)投标者可提供一份完全符合投标文件要求的基本标书。根据自己的意愿,投标者
还可在以下几项上在基本标书之外提出供选择的方案:
(1)起动贷款
在开始建设工程前,提供无息贷款,可相当于投标价格的10%。业主由此产生的费用
或存款按条款二十八计算。
(二)在基本标书之外还可提出供选择的方案。为了在评标中把供选择的方案考虑在内
,每一方案应伴有价格细目表,说明与提交给业主的基本投标价格相比投标者估计会增加或
减少的费用。将对基本报价给予比较、评估。评价最低的投标者的供选择方案将得到考虑。
如果供选择方案是业主可接受的,将写入合同。未标价或未提供足够细节的供选择方案不予
接受。
(三)供选择的技术方案应伴有供全面评价的必要信息,包括设计计算、图纸、方法及
原技术规范中未涉及的材料、工艺的规格,以及供选择方案的标价细目表和供选择方案的合
同价格。
(四)只有对那些在基本报价基础上提供另外的财务、经济和技术好处的供选择方案,
业主才在评标中给予考虑。
十六、标前会议
(一)建议投标者或其正式代表参加于__年__月__日__时在_____举行的
标前会议。
(二)会议旨在回答可能提出的问题,并使投标者有机会检查现场的情况。
(三)投标者书面或通过电传、电报提出的问题要求在会议前一周到达A公司。
(四)会议记录,包括提出的问题及答复的文本将迅速提供给与会者和全体索取了投标
文件的具有资格的投标者。
(五)如果根据标前会议,要对条款六(一)所列投标文件进行修改,应由业主或其代
理人A公司通过发行条款八规定的附录来进行,而不能通过标前会议记录来进行。
十七、标书格式和签字
(一)投标者应准备条款十(一)规定的标书的一个原本和两个副本,并分别注明“原
本”和“副本”。如果两者之间有不同,以原本为准。
(二)标书原本和两个副本应打字或用不能抹掉的墨水书就,并由一名或多名有权责成
投标者遵守合同的人士签字。与标书一起应有一份书面委托书用以证明授权。写有条目和修
订内容的每一页标书都要有在标书上签字人士的缩写签名。
(三)全套标书不应有改动、行间书写或涂抹的地方,除非按议程的指示或为改正投标
者的错误,但这种情况下改正的地方应有在标书上签字人士的缩写签名。
(四)每位投标者只能提交一份标书,不包括按条款十五提交的供选择方案。投标者对
一个合同只能投一次标。
十八、标书封缄和标记
(一)投标者应把标书原本和两个副本分别各装入一个内信封和一个外信封,且在信封
上注明“原本”、“副本”。
(二)(1)内外信封均应注明以下地址:

(三)内信封上应写明投标者姓名和地址,以便在标书误期的情况下不用打开即可退回
投标者。而外信封上不能有任何涉及投标者的信息。
(四)如果外信封未按规定注明有关事项。一旦标书被错误处置或提前打开,A公司对
此不负任何责任。提前打开的标书将被业主或其代理人A公司拒绝,予以退回。
十九、提交标书最后期限
(一)标书应按上述地址在__年__月__日__时之前寄至A公司。
(二)业主或其代理人可通过发布条款八规定的附录延长提交标书的最后期限,但至少
应在原期限前七天通过电传或电报通知所有已索取投标文件的具有资格的投标者。在此情况
下,所有原期限下业主和投标者的权利义务顺延至新期限结束。
二十、逾期标书
A公司在提交标书最后期限之后收到的标书都将不被打开,退回投标者。
二十一、标书修改和撤销
(一)投标者在提交标书后可对其进行修改或予以撤销,只要修改文件和撤标通知在提
交标书最后期限前送达A公司。
(二)投标者的修改文件或撤标通知应按有关提交标书条款的规定准备、封缄、标记和
发出。撤标通知可以通过电传、电报送达,但随后应提交一份有签名的确认件,且其邮戳上
日期不能晚于提交标书最后期限。
(三)按条款二十四的规定,任何标书在最后期限后不能再进行修改。
(四)在提交标书最后期限和标书有效期满之间的时间撤标将按条款十四的规定失去投
标保证书。
开标和评标
二十二、开标
(一)业主或其代理A公司将于__年__月__日__时在办公地点_____当着
出席会议的投标者代表开标,参加开标的投标者代表应签到。
(二)按条款二十一提交了撤标通知的标书将不再打开。业主或其代理人将检查标书是
否完整,是否提供了要求的投标保证书,文件是否签字以及是否有条理。
(三)在开标时将宣布投标者姓名、投标价格及修订、投标保证书、撤标通知(如果有
)以及其他业主或其代理人认为适宜宣布的事项。
(四)业主或其代理人将根据自已的记录准备开标会议记录,并将尽快与评标报告一起
递交世界银行。
二十三、过程保密
(一)在公开开标后,在向成功投标者授标前,有关对标书的检查、解释、评估及比较
以及对授标的建议等信息不应让投标者或其他与评标过程无关的人士知晓。
(二)如果投标者试图在此过程中对业主施加影响,其投标将被拒绝。
二十四、对标书的解释
为了帮助检查、评价和比较标书,业主和A公司可要求投标者就其标书作出解释,包括
单位价格细目表。提出解释要求和相应的回答均应是书面的,或通过电传或电报进行。除非
按条款二十六的规定,应要求对业主在评标过程中发现的数学计算错误进行更正,不得对价
格或其他标书要素进行修改。
二十五、判定是否符合要求
(一)在详细的评标前,业主和A公司将判定每份标书是否符合投标文件的要求。
(二)符合要求的标书是符合投标文件的所有条件和规格,而没有实质上的偏差或保留
。实质偏差是指对工程的范围、质量、管理有实质影响,或与投标文件不符,对合同中业主
的权利和投标者的义务有实质性限制。纠正这样的偏差或保留,将对其他提交符合要求的标
书的投资者的竞争力有不公正的影响。
(三)不符合投标文件要求的标书将被业主和A公司拒绝。
二十六、改正错误
(一)被判定实际符合要求的标书,将由业主检查是否有数学计算方面的错误。以下错
误将由业主改正:
(1)当数字与文字表示的数额不同时,以文字表示为准,除非文中明确以数字表示为
准;
(2)当单价和以单价乘以数量得到的总价不同时,以单价报价为准,除非业主认为单
价存在严重错误,在这样的情况下,以总价报价为准,改正单价错误。
(二)业主可按上述步骤对标书所列数额错误进行更正,如此更正得到投标者的首肯,
则对投标者有约束力。如果投标者认为更正的数额会给其造成困难,可撤标。不过撤标使投
标者面临失去投标保证书的危险。
二十七、换算成一种货币
投标价格指应按一定比例以不同货币向投标者支付的款额。为了评价和比较标书,业主
可把不同货币表示的数额(不包括临时费用,但包括加班费)以中国银行开标日人民币卖出
价将其换算成人民币。
二十八、评价和比较标书
(一)业主和A公司只评价和比较那些被判定符合投标文件要求的标书。只对基本报价
进行评比,对评价最低的标书授予合同。
(二)在评标中,业主通过下列对报价的调整,确定每份标书的投标价格:
(1)按条款二十六改正错误;
(2)除去临时费用和相关条款。如果发生临时费用,计入工程量表中的偶发事件。应
包括有竞争力的加班费用;
(3)换算成一种货币;
(4)按条款二十八(三),估加起动贷款费用;
(5)对在标书价格和上述调整中未得到反映的,其他数量变更、偏差或替代报价进行
适当的调整;
(6)其他业主认为对执行合同、价格和支付有潜在巨大影响的因素,包括标书中不平
衡、不现实的单价的作用。
(三)在评标中,每个投标者按条款十五(一)的规定要求的不同的起动贷款给业主造
成的费用,按年贴息率9%计算,应加在投标者的投标价格上。
(四)业主和A公司保留接受或拒绝任何变更、偏差和替代报价的权利。超出投标文件
要求的变更、偏差、替代报价和其他因素,或将给业主带来非主动提出的利益的因素在评标
中不予以考虑。
(五)在合同执行期内适用的价格调整条款在评标中不予以考虑。
(六)如果成功投标者的报价与工程师对合同工程所需实际费用的估计相差很远,业主
将要求成功投标者自己承担费用,把按条款三十四提交的履约保函增加,使业主能避免成功
投标者今后在执行合同中因错误引起的损失。
二十九、国内投标者优惠
(一)国内投标者满足以下条件,即在评标过程中有资格享受7.5%的优惠:
(1)在中国注册;
(2)中国国民占有大部分所有权;
(3)不将超过50%的合同工程(按价格算)分包给外国投标者。
(二)国内及外国公司联合或合资,只要满足以下条件,有资格享受优惠:
(1)国内合伙人满足上述资格标准;
(2)根据安排,国内合伙人至少完成50%的合同工程(按价格算);
(3)没有外方参与,在技术或金融方面国内合伙人没有资格进行合同工程。
(三)实行优惠须遵守下列程序:
(1)在按条款二十八全面评标后,合乎要求的标书被分成下列几组:
甲组:国内投标者的标书,满足上述(一)的标准;和合资投标者的标书,满足上述(
二)的标准;
乙组:其他投标者的标书。
(2)在进一步评估、比较中,相当于投标价格7.5%的数额(按条款二十八调整后
)将被加在B组标书的投标价格上。
授 标
三十、授标标准
按条款三十一,业主和A公司将把合同交给标书符合投标文件的要求,且按条款二十八
和二十九(如果适用)评价后价格最低的投标者,且该投标者有能力和资源来有效执行合同
。业主和A公司不保证报价最低或任何标书将被接受。
三十一、业主的权利
尽管有条款三十,业主保留以下权利:接受或拒绝任何标书;在授标前任何时候取消招
标,拒绝所有标书,且对因此受影响的投标者不负任何责任,也无义务告知投标者他的行为
动机。
三十二、授标通知
(一)在业主规定的标书有效期结束前,业主将用电传或电报(事后用挂号信书面确认
)通知成功的投标者其标书已被接受挂号信(合同条款中称作“接受证书”)中应明确业主
在考虑工程建设、完成及维修等因素后将支付给承包人的款额(合同条款中称作“投标额”
)。
(二)授标通知构成合同的一部分。
(三)在成功投标者按条款三十四提交一份履约保函后,业主立即通知其他投标者他们
的投标不成功。
三十三、签订合同
(一)在通知成功投标者后28天内,业主将寄去两份投标文件提供的协议,双方同意
的规定已写入。
(二)收到协议后28天内,成功投标者签字、封缄使协议生效,把两份都还给业主。
业主签字协议生效后,还给承包人一份。
三十四、履约保函
(一)在收到接受证书后28天内,成功投标者应按合同条款向业主提交一份保函,保
证将执行合同。保函可以使用投标文件中提供的格式,也可使用其他业主接受的格式。
(二)如果成功投标者提交的是一份银行保函,则保函应由一家当地银行,或外国银行
通过一家当地代理行,或投标者认为业主可接受的一家外国银行开具。
(三)如果保函采取债券方式,债券应由投标者认为业主可接受的债券公司或保险公司
发行。
(四)如果成功投标者未遵守条款三十三、三十四的要求,将构成充足理由使业主取消
对其授标,投标者还将失去投标保证书。
在此情况下,业主可向其次的评价最低的投标者授标。如果没有其他投标者,可重新招
标。

Instructions to Tenderers
General
1. Description of Works (sketch)
All tenderers shall have equal access for
supply of domestic labour
and material.
The Contractor shall make his own
arrangements for the procurement of
local
labour, materials, transportation and other
services.
The Employer will assist
Contractor in locating potential number of
suppliers for local labour, materials. The
Employer will also assist the
contractor in
making his own arrangement for supply of
fuel and
explosives.
2. Source of
Funds
2.1 The People's Republic of China
has applied for a loan and credit
from the
World Bank (hereinafter referred to as the IFI)
towards the cost
of ____________ Project, and
intends to apply a portion of the proceeds of
the loan and credit to eligible payments
under the Contract for which
these
documents are issued. Payment by the IFI will be
made only at the
request of the Chinese
Government and upon approval by the IFI and will
be
subject in all respects to the terms and
conditions of the Loan Agreement.
No party
other than the People's Republic of China shall
derive any rights
from the Loan Agreement or
have any claim to the loan proceeds.
2.2
Payment from the proceeds of the World Bank Loan
will be limited
to goods produced in, and
services supplied from, Switzerland and the
member countries of the World Bank which have
commercial relations with
China.
2.3
All costs not met by the IFI Loan will be paid
by the Employer
from funds allocated by the
Government of China.
3. Eligibility and
Qualification Requirements
3.1 This tender
is open to all pre-qualified tenderers from
eligible
source countries as defined under the
the
world Bank.
3.2 All goods and
services to be supplied under this Contract
shall
have their origin in eligible source
countries, and all expenditures made
under
the Contract will be limited to such goods and
services.
3.3 The origin of goods and
services is distinct from the nationality
of
the tenderer.
3.4 To be eligible for
award of contract, tenderers shall have
provided evidence satisfactory to the Employer
of their eligibility under
clause 3.1
above, and of their capability and adequacy of
resources to
effectively carry out the
Contract. To this end, the Employer and
____________ company may, at any time prior to
award of contract, request
tenderers to
amplify or update previously submitted
prequalification data.
All Tenders submitted
shall include the following information:
(a) copies of original documents defining the
constitution or legal
status, place of
registration and principal place of business
of the
company, firm or partnership or, if a
joint venture, of each party thereto
constituting the tenderer;
(b) the
qualifications and experience of key personnel
proposed for
administration and execution of
the Contract, both on and off site, in the
format prescribed in Schedule V;
(c)
major items of constructional plant and equipment
proposed for use
in carrying out the Contract
in the format prescribed in Schedule IV;
(d) a list of proposed sub-contractors in the
format prescribed in
Schedule VI;
(e) information regarding any current litigation
in which the tenderer
is involved;
(f)
the details of the construction methods proposed.
3.5 For the purposes of sub-clause
3.4, tenderers who have been
pre-qualified
may update and augment the information supplied
with their
application for pre-
qualification, and, in particular, shall
give
particulars of work in hand at the date
of tendering.
3.6 Tenders submitted by a
joint venture of two or more firms as
partners shall comply with the following
requirements:
(a) the tender, and in case
of a successful tender the Form of
Agreement, shall be signed so as to be legally
binding on all partners;
(b) one of the
Joint Venture members shall be nominated as
sponsor;
and this authorisation shall be
evidenced by submitting a power of
attorney signed by legally authorised
signatories of all the members of
the joint
venture;
(c) the joint venture sponsor
shall be authorised to incur liabilities
and
receive instructions for and on behalf of any and
all members of the
joint venture and the
entire execution of the Contract including
payment
shall be done exclusively with the
joint venture sponsor;
(d) all members of
the joint venture shall be liable jointly
and
severally for the execution of the
Contract in accordance with the
Contract
terms, and a relevant statement to this effect
shall be included
in the authorisation
mentioned under (b) above as well as in the Form
of
Tender and the Form of Agreement (in case
of a successful tender); and
(e) a copy of
the agreement entered into by the joint venture
partners
shall be submitted with the tender.
3.7 Domestic tenderers or combinations or
joint ventures of domestic
and
foreign tenderers applying for eligibility for the
application of a
_____% margin of preference
in the comparison of their tender with other
tenders shall supply all information required
to satisfy the criteria for
eligibility as
described in Clause 29 of these Instructions.
4. Cost of Tendering
The tenderer
shall bear all costs associated with the
preparation and
submission of his tender
and neither the Employer nor his agent
___________ Company will in any way be
responsible or liable for those
costs,
regardless of the outcome of the tendering
process.
5. Site Visit
5.1 The
tenderer is advised to visit and examine the Site
of the Works
and the surroundings and to
obtain for himself on his own responsibility,
all information that may be necessary for
preparing the tender and
entering into a
contract. The costs of visiting the site shall be
at the
tenderer's own expense.
5.2
Arrangements for a visit to site, including
transportation and
accommodation. will be
made by the Employer or his agent _________
Company
and will be advised to tenderers at
the pre- tender meeting, details of
which
are given in Clause 16 of these Instructions to
Tenderers.,
5.3 The tenderer and any of
his representatives will be granted
permission by the Employer or his agent
___________ company to enter upon
its
premises and lands for the purpose of such
inspection by prior
arrangement, but only
upon the express condition that the tenderer and
his
representatives, will release and
indemnify the Employer or his agent
___________ Company and its personnel from and
against all liability in
respect thereof
and will be responsible for personal injury
(whether fatal
or otherwise), loss of or
damage to property and any other loss, damage,
costs and expenses however caused, which, but
for the exercise of such
permission, would
not have arisen.

6.2 Tender
documents shall include any addenda issued prior
to the
closing date of tenders in accordance
with Clause 8 and any minutes of
pre-
tender meetings issued in accordance with
Clause 16 of these
Instructions to
Tenderers.
6.3 Further copies of the
documents may be purchased by pre-qualified
tenderers for a non-refundable fee as follows:

6.4 Sub-contractors,
manufacturers, suppliers and others who require
copies of the documents shall not request them
directly from _____________
but shall obtain
them only from pre-qualified tenderers.
6.5 On return of the documents in an undamaged and
useable condition,
either as part of a tender
or otherwise, within the specified time limits,
the tenderer's pre-qualification fee will be
refunded, as follows:

6.6 The tenderer is
expected to examine carefully all instructions,
conditions, forms, terms, specifications

Failure to comply with the requirements of the

Tenderers will be at the
tenderer's own risk. Tenders which are not
substantially responsive to the requirements
of the tender documents may
be rejected.
6.7 The four volumes of the tender
documents have been collated and
bound by
mechanical means and tenderers should check to
ensure that they
contain all pages (which
are numbered consecutively) and that all
supplements referred to are also included.
7. Clarification of Tender Documents
7.1 A Prospective tenderer requiring any
clarification of the tender
documents may
notify ___________ in writing or by telex at the
following

The
Employer or his agent _____________ will respond
in writing to any
request for clarification
which is received more than _____ days prior to
the deadline for submission of tenders.
Written copies of the response
(including an
explanation of the query, but without identifying
the source

prequalified tenderers who have been
issued

8. Amendment of Tender
