模具采购合同

1、This purchasing contract is made by the trustor and the trustee, according to
the clauses of this contract, Trustee will develop the following mould as
described below:

本合同由委托人和受托人双方订立，根据本合 同规定的条款，受托人愿意开发委托人委托开

trustee shall implement manufacture according to designs from the
trustor;If the trustor provide the sample ,both the trustor and the trustee seal
the sample together.
受托方根据委托方提供的图样进行模具制作，如委托方提供的是样品，则双方对样品进行封
样。

products made by the mould shall completely fit with the drawing
specification or samples from XX .The eligible products will be the condition of
the confirmation for eligibility of the mould as well as payment for mould
shall be checked and accepted by XX. 该模具生产的产品必须符合XX公司产品的图纸规范或样品标准，产品合格作为模具合格及
支付模具 费的条件，模具需经过XX公司的最终验收。

trustee ensure that the mould can produce
products,Otherwise, the trustor shall have the right to request compensation for
all mould cost.
受托人保证委托人合模万次完好，否则委托人有权就模具费全额向受托人索赔。

prices include VAT 17% and delivery.
本报价含17%增值税和货物运输费。

of Payment: advanced payment 40% within one week after

contract signing, the balance within 30 days after sample confirmation against
invoice.
付款方式：合同签定一周内预付40%，余额样品检验合格30日内凭发票付款。

days&requirement开模周期及要求
（1）(sample date)： days for sample.
协议开模具周期： 天内交样

（2）The trustee can not refuse the trustor to check the progress of mould
manufacturing, quality and test in the process of ise,the
trustor have the right to cancel the contract immediately and the trustee must
return the advanced payment double and compensate for the loss of the trustor.
在模具制造过程中,委托方有权随时检查制造进度、质量标 准，并提取试验。受托方不得以
任何理由拒绝，否则，委托方可以立即解除合同，并由受托方双倍返还委 托方已付款项，赔
偿造成的损失。

（3）If the trustor don’t approbate the mould,the trustee must improve on the
mould in days and the fee of reform the mould is borne by the the
trustee don’t improve on the mould in days or the improved mould don’t still
approbated by the trustor,the trustor have right to cancel l the contract and the
trustee must return the advanced payment double and compensate for the loss
of the trustor.
若受托方的模具不能得到委托方认可，受托方须 在委托方提出之后的____天内对模具进行
整改，整改的费用由受托方承担。如受托方逾期整改或整改 后的试模产品仍得不到委托方认
可的，委托方有权单方解除合同，由受托方双倍返还委托方的已付款，并 赔偿全部损失。

（4）The trustee must give the trustor the written report with regard to all
manufacturing problems and continue to product after the trustor confirm on it
by writing
受托方在制模过程中遇到的所有问题都必须书面给委托方，待委托方书面确认后再进行后续
工作。

’s Intellectual property模具产权

This mould is developed by trustee,and trustor pay for the cost. the ownership
Patent right copyright and other Intellectual property belongs to trustor.
该模具为委托人有偿委托受托人开发，此模具所有权、专利权、著作权及其它 知识产权属于
委托人。

trustee agreed that the trustor determine the number of samples.
受托人生产的模具，委托人有权确定样品数量，受托人无异议。

trustee agree the times of test mode 、the number and times of
swaping sample requsted by the trustor, otherwise,the trustor shall have the

right to terminate unilaterally the contract and to recover the advances paid.
对于委托 人要求的试模次数以及调换样品的数量和次数受托人无条件予以配合。否则委托人
有权单方通知受托人终 止本合同并收回预付款项。

of the contract违约
（1）If trustee fails to fulfill the terms and conditions stipulated in the Contract,
trustor shall have the right to terminate this contract thereof
受托人未能履行合同所规定的任何重要条款，如无合理解释时，委托人有权终止合同。

（2）Trustee will bear legal responsibility if the mould which is provided by the
trustee is not same to the mould which is prescribed by this contract.
一旦受托方提供的货物与合同项下规定的货物不一致，受托方需承担法律责任。

（3）trustee shall nevertheless have the right to claim compensations if trustor
intends to cancel this contract or order beyond the reasonable scope that
trustee can accept.
若委托人要取消或终止合同或订单，而其理由超出受托人所能接受的范围，受托人有权要求
委托人给予赔 偿因此而造成的损失。

（4）Claims：the trustee shall implement manufacture according to designs from
the trustor; Should the quality, specifications or quantity be found not in
conformity with the stipulations of the contract except those due to the design of
the trustor, the Trustee shall be responsible to the repair or even open new
mould and compensate the loss caused to the trustor.
赔偿：受托人必须依照委托人提 供的设计图纸开发制作模具；如因非设计原因导致的模具未
能生产出委托人要求的产品，受托方应无条件 给与修整甚至重开模具，如对委托人造成影响
需赔偿委托人相应损失。

（5）If the trustee will not complete the development of mold in 30
days(including the time of the reform),the trustee must pay 5% of the total
price which is prescribed by this contract every day in the days which is more
than 30 days as penalty. The penalty can offset the payment for mould by the
trustor.

If the trustee complete the development of mold late more than days,the
trustor have the right to cancel the contract immediately and the trustee must
return the advanced payment and give the trustor % of the total price which
is prescribed by this contract as penalty. In addition, the trustee must
compensate for all losses of the trustor.
若受托方逾期交货（包括整改逾期），逾期后每天需 向委托方支付模具总价的5%作为逾期
交货违约金，该违约金可以直接抵扣委托方应付款。若逾期超过_ ___天，委托方可单方解
除合同，受托方除返还委托方已付款外，还应向委托方支付模具总价___% 的金额作为违约
金。给委托方造成损失的，应赔偿全部损失额。

ential responsibility保密责任

（1）Both parties and their employees shall comply with their obligations to
conceal the related confidential commercial information. Both parties should not
confide the commercial information to the third Party in oral hand writing
notifying and lending.

Both parties should make an Intellectual Property agreement if it is necessary
for our OEM and package products. Both trustor and trustee should undertake
the legal liability for any breach of this provision.
未经允许，任何一方不得将对方的商业机密或其他情报以口头 、书面、出示或借用、转泄露
给第三方并有义务尽绝对保密之责任，且应要求所属员工遵守相同义务。对 于OEM及分包
产品，如有必要，双方可另立知识产权协议。若有违反该条款行为，应负相应法律责任。

（2）If employee which is employed by the trustee leak thecommercial
information, the trustee must take the legal responsibility.
受托人公司员工的泄密行为由受托人承担相应法律责任。

（3）The trustee must return the drawings provided by the trustor after the
completion of the manufacture of mould.
模具制造完毕后，受托人必须归还所有委托人提供的图纸。

（4）The two sides resolve the dispute through friendly we can
not resolve the problems through consultation, the people's court of Taicang
City have the right to deal.
因履行本合同而产生的一切纠纷，双方秉着友好的原则协商处理，协商 不成的由江苏省太仓
市人民法院管辖。

present contract is signed in duplicate, both party hold one copy. This
contract will be valid with both parties’ signatures and stamps.
本合同一式两份，由买卖双方在原件上签字，各执一份为证。
