This contract is made by and between the Buyer and the Seller, whereby the Buyer
agrees to buy and the Seller agrees to sell the under mentioned commodity
according to the terms and conditions stipulated below:
本合同由买卖双方签订，买方同意购买，卖方同意出售下述商品，并按下列条款签订
合同：

1. COUNTRY OF ORIGIN AND MANUFACTURER 生产国别和制造厂

2. PACKING 包装
To be packed in strong wooden case(s) or in carton(s),suitable for sea transportation
and the change of climate. well protected against moisture and shocks. The Seller
shall be liable for any rust, damage and loss attributable to inadequate packing by
the Seller.

包装必须坚固，并有防潮、防震措施，适于海运，由于包装不良引起生锈、损坏、丢
失、其责任应由 卖方承担。

4. SHIPPING MARK: 运输标志
The Seller shall mark on each package with fadeless paint the package number,
measurement, gross net weight and the wordings:＂
KEEP AWAY FROM MOISTURE＂,＂HANDLE WITH CARE＂,＂THIS SIDE UP＂
etc. and the shipping mark:
卖方应在每件包装箱上用油漆刷上箱号、尺码、毛重、净重和“防潮”、“小心搬
运”、
“勿倒置”等字样，以及下列唛头：

RY 交货
No later than 4months after the Buyer’s Bank has issued the Letter of Credit.
partial shipment not allowed.
货物不晚于买方银行开具信用证猴4个月装运，不允许分批装运。

7. INSURANCE: To be covered by the seller for110% of invoice value against All
Risks and war risks.
运输保险：由卖方负责按发票金额的110%投保一切险及战争险。

8. PAYMENT 付款条件：
By Letter of Credit: The Buyer shall open an irrevocable letter of Credit, within 30
days after the contract date, in favor of Seller, for 100% total value of Contract. The
LC shall remain valid till be 21 days after shipment is effected.

信用证：买方应于合同日后30日内开 立以卖方为受益人的100%合同总额的不可撤销
信用证，信用证有效期至货物发运后21天。

9. DOCUMENTS 单据
(1) Full set of 33 original dills of lading marked Freight Prepaid and noting the
Buyer at the destination port.
全套33注明“运费已付”通知买方的提单。

(2) Signed commercial invoice in 3 originals 3 copies indicating contract number and
shipping mark, made out in details as per this contract.
商业发票3正3副，根据本合同注明该合同号和唛头。

(3) Packing list in triplicate issued by the manufacturer.
由生产厂商出具的装箱单3份。

(4) Certificate of quality and quantity in triplicate issued by the manufacturer.
由生产厂商出具的质量和数量证明书3份。

(5) Beneficiary’s certificate confirming one set of shipping docs has been faxed to
the buyer with 10 days after the shipment date.
在货物发运后10日内将装运单据传真买方的受益人证明。

(6) Certificate of origin in 3 originals and 3 copies issued by the manufacture.
制造商出具的原产地证明3正3副。

(7) The quarantine certificate of the wooden package materials, in 1 original and 3
copies, issued by the animal and plant quarantine department under the government
or relative authority of the exporting country.
由出口国政府的动植物检疫部门或相关部门出具的木质包装熏蒸证明2正3副。

(8) Insurance Policy in one original and one copy covering “all risks” and “war
risks”.
涵盖“一切险”和“战争险”的保单一正一副。

10. SHIPPING ADVICE 装运通知
The Seller shall, 7 days before the date of shipment specified in the contract, advise
the Buyer by fax of name of loading port, contract number , name of spare parts,
quantity, value, member of packages, grossnet weight of each package,
measurement of each package and the date of readiness at the port of shipment.
The Seller shall, with 10 days after completion of the loading of the goods, send the
BL, invoice and Packing list to the Buyer by fax.
卖方应在合同规定装期7天 前传真通知买方装运港名称、合同号、品名、数量、价值、
件数、每件毛净重、尺寸及货物在装运港备期 待装日期货并在物装船后10日内，用
传真将提单、发票和装箱单发给买方。

11. GUARANTEEE OF QUALITY 质量保证
The Seller shall guarantee that the commodity hereof is made of the best materials
with first class workmanship, brand new and unused, and complies in all respects
with the quality and specification stipulated in the contract.
卖方保证 合同的货物是用最好的材料制作的，一流的工艺，新商标并未使用过，其质
量和规格完全与本合同规定的 相符。

The warranty period shall be 6 months the date of successful commissioning or 12
months from the date of shipment, whichever occurs first. During this time, the
Seller shall replace all parts damaged and rendered useless on account of defects for
which we are responsible. The Seller’s responsibility shall not cover defects
resulting from wear, tear and faulty operating conditions. Furthermore, the Seller’s
responsibility shall not cover defective design if made, supplied or specified by the
customer andor defects and derangements resulting from a change of the originally
delivered and installed equipment to a different machine or system , effected by the
customer. This warranty will only be maintained if all inspections as listed in the
Seller’s documentation are carried out. Compensation for consequential loss are
excluded.
质保期应为成功调试后的6个月或装船后的12个月，以两者先到的为准 。在这期间卖
方应替换所有因卖方的缺陷造成的损坏和舍弃无用的部件。卖方的责任不包括由于磨
损，撕裂和误操作造成的缺损。另外。卖方的责任不包括由用户制造，供货或指定的

缺 陷设计，及或由于对交送原件的改变并安装在其他的设备或系统造成的缺损。在卖
方文件所列的所有检查 均被执行的情况下保质期有效。间接损失赔偿除外。

The seller will guarantee the new delivery parts fit to the existing machines.
卖方保证新的部件和现有设备匹配。

12. CLAIM 索赔
Within 60 days after the arrival of the commodity at destination, should quality,
specification, or quantity be found not in conformity with the stipulations of the
contract except those claims for which the insurance company or the owners of the
airfreight are liable, the Buyers shall, on the strength of the inspection Certificate
issued by the State General Administration of People’s Republic of China for Quality
Supervision and inspection and Quarantine (AQSIQ), have the right to claim for
compensation or repair.
在货物到达目的地后60天内，如发现质 量、规格或数量与合同规定的不符，除了保险
公司或空运公司应付的索赔以外，买方应凭中国商检局出具 的检验证明有权要求卖方
进行赔偿或修理。

13. FORCE MAJEURE 不可抗力
The Sellers shall not be held responsible for the delay in shipment or non- delivery of
the goords due to Force Majeure , such as war, serious fire, flood, typhoon and
earthquake, or other events agreed upon between both parties, which might occur
during the process of manufacturing or in the course of loading or transit. The
Sellers shall advise the Buyers immediately of the occurrence mentioned above and
within fourteen days thereafter, the Seller shall send by airmail to the Buyer for their
acceptance a certificate of the accident issued by the Competent Government
Authorities where the accident occurs as evidence thereof.
凡在制造或装运过程中由于不可抗力，如战争、严重火灾、洪水、台风和地震，或者
双方协议的其它可 能会发生的事件，致使卖方推迟或不能交货，卖方可不负责任。卖
方应立即将上述发生的情况通知买方， 并在此后14天内给买方航寄一份由主管政府当
局颁发的事故证明书，作为发生事故的证据。

14. ARBITRATION 仲裁
All disputes arising from the execution, or in connection with this Contract shall be
settled through friendly negotiation. In case no settlement can be reached through
the negotiation, the case shall then be submitted to the international Chamber in

Paris and in accordance with its Rules of Procedure’s promulgated by the said
Arbitration Commission. The arbitration award is final and binding upon both parties.
Arbitration fee shall be borne by the losing party. Unless otherwise agreed, the
official language of the arbitration shall be English.
凡与本合同有关的或执行本合同所发生的一切争议，应通过友好协商解决。如果无法
解决，应提交巴黎国 际商会并根据其程序规则进行仲裁。仲裁机构的裁决是终局的，
对双方都有约束力。仲裁费用应由败诉方 承担。仲裁的官方语言为英语，除非另有规
定。

15. EFFECTIVENESS AND MISCELLANEOUS 生效和其他
The present contract is signed by the authorized representative of both parties and
shall become effective upon the formal and mutual signing of the contract.
The contract is made up in Chinese and English in three originals, two for the Buyer
and one for the Seller. In case of any discrepancies between the two languages, the
English version shall prevail.
本合同应由双方授权代表签字并在双方正式签字后即生效。
此合同共三份正本，由中英文组成 ，买方2份，卖方1份。如果两种语言之间出现任
何偏差，则以英文为准。

16. TAXES 税
17.1All taxes, customs, duties and other fees levied by Chinese government on the
Buyer in connection with and in the performance of the present Contract in
accordance with the tax laws in effect shall be paid by the Buyer.
凡是与本合同有关的或在执行过程中由中国政府按照中 国现行法律向买方征收的一切
税，海关关税和其它费用应由买方进行支付。

17.2All taxes, customs, duties and other dues arising outside China in connection
with and in the performance of the present Contract shall be paid by the Seller.
所有在执行本合同中，发生在中国境外的一切税，海关关税和其它费用应由卖方支付。
