SALES CONTRACT

The Seller agrees to sell and the Buyer agrees to buy the
undermentioned on the terms and conditions stated bellow: 买卖
双方兹同意以以下条件订立购销合同

（10）Payment （付款）: （11）The shipping quality , quantity
and weight under this contract shall be inspected and certified by
China Import & Export Commodity Inspection Bureau or the
Seller , if so required , certificates issued thereby shall be taken as
final for payment . （商品品质、重量、数量需经中国进出
口商品检验检疫局卖方检验并出具检验证书） （12）If the LC
does not reach the Seller in time , or it is not in conformity with the
stipulations of the contract and not amended timely , the Seller
has the right to cancel part or whole of the contract , or to extend
the term for delivery of the goods . At the same time , the Seller

has the right to lodge claim against the Buyer for the losses thus
occurred . （如果信用证不能如期开至卖方，或者与此合同
条款 不符且没在时效内变更，卖方有权力部分或全部取消合同
或延期执行此合同，同时卖方有权向买方索取由 此产生的损失）
（13）Qualityquantityweight discrepancies and claims : If the
quality , andor quantity are found not in conformity with the
contract , the Buyer has the right to lodge claim against the Seller
supported by a surrey report issued by an inspection organization
agreed upon by both Parties . The Buyer should file claims for
discrepancies within 30 days after the arrival of the goods at the
port of destination . And the Seller will not consider claims for
which the insurance andor the carrier shall be held responsible.
（质量数量重量误差及索赔：如果货物质量、重量与合同条
款不符，买方有权要求卖方出示双方议定检验机构的检验证书。
买方有权在收货30天内提出索 赔要求，卖方需先行给付买方损
失） （14）Force Majeure : The Seller shall not be responsible for
the dealy of shipment or non-delivery of the goods due to Force
Majeure . And the Seller has the right to extend the shipment term ,
or alternatively to cancel part or whole of the contract according
to the circumstances . But the Seller shall notify the Buyer in time . （不可抗力：遇不可抗力，卖方有权延迟发货或取消交货，但
须及时通知买方；卖方亦有权延期交货 或全部或部分取消合同）

（15）Arbitration clause : Any dispute arising from or in connection
with this contract shall be setteled through friendly negotiation
between the two Parties . If no settlement can be reached , the
dispute shall be submitted to China International Economic and
Trade Arbitration Commission in Beijing for arbitration , which shall
be conducted in accordance with the Commission’s arbitration
rules in effect at the time of applying for arbitration . The
arbitration fee shall be borne by the losing Party . （仲裁：如
遇纠分，买 卖双方需友好协商解决；如不能解决则交由中国国
